Both the two parties herewith agree to sign the contract based on the principle of common consensus.第一條 本合同簽訂依據(jù)Article One Basis for conclusion of this Contract11中華人民共和國(guó)合同法、建筑工程勘察設(shè)計(jì)管理?xiàng)l例。“The Contract Law of the Peoples Republic of China”; “Management Regulations of Investigation and Design in Construction Engineering”.12國(guó)家及上海市有關(guān)建設(shè)工程勘察設(shè)計(jì)管理法規(guī)和規(guī)章。National and local rules and regulations on Management Regulations of Investigation and Design in Construction Engineering.第二條 設(shè)計(jì)依據(jù)Article Two Design Basis 21甲方發(fā)給乙方的設(shè)計(jì)委托書或中標(biāo)函。Letter of design assignment or Letter of acceptance provided by the Party A to the Party B.22甲方向乙方提交的有關(guān)資料和文件。Related information and documents submitted by the Party A.2.3乙方采用的主要技術(shù)標(biāo)準(zhǔn)：Main technical standards adopted by the Party B can be showed as follows:幕墻技術(shù)要求應(yīng)符合國(guó)家標(biāo)準(zhǔn)GB/T 21086-2007建筑幕墻、JGJ1022003玻璃幕墻工程技術(shù)規(guī)范和JGJ1332001金屬與石材幕墻工程技術(shù)規(guī)范、企業(yè)標(biāo)準(zhǔn)的相關(guān)要求。 The technical requirements of curtain wall should conform to relevant requirements in National Standard GB / T 21086-2007 Building Curtain Wall, JGJ102-2003 “Technical Code for Glass Curtain Wall Engineering as well as JGJ133-2001 Technical Code for Metal and Stone Curtain Walls Engineering and Enterprise Standard.第三條 合同文件的優(yōu)先次序構(gòu)成本合同的文件可視為是能互相說(shuō)明的，如果合同文件存在歧義或不一致，則根據(jù)如下優(yōu)先次序來(lái)判斷：Article Three The documents forming the Contract are to be regarded as mutually explanatory of one another, but in case of ambiguities or discrepancies, the priority of the documents shall be listed as follows:31本合同書；The contract;32中標(biāo)函（文件）；Letter of Acceptance (Document);33甲方提出的書面要求；Written requirements submitted by the Party A;3.4 招投標(biāo)文件（圖紙）Tendering document (Drawings);第四條 本工程項(xiàng)目的名稱、規(guī)模、階段、投資及設(shè)計(jì)內(nèi)容Article Four Name, size, stages, investment and content of design in this project. 第五條 甲方向乙方提交的有關(guān)資料、文件及時(shí)間Article Five Relevant materials, documents and time for delivery of materials and documents submitted by the Party A to the Party B. 第六條 乙方向甲方交付的設(shè)計(jì)文件、份數(shù)、地點(diǎn)及時(shí)間Article Six Design documents submitted by the Party B to the Party A, and the copies, location and time for delivery. 第七條 設(shè)計(jì)費(fèi)用Article Seven Design Charges71甲方應(yīng)向乙方支付本合同項(xiàng)目的設(shè)計(jì)費(fèi)為RMB 元，（人民幣大寫： ）。The Party A shall pay _RMB (in capital letters) to Party B as the design charges of this project in the Contract.7. 2如乙方中標(biāo)博世中國(guó)研發(fā)總部項(xiàng)目幕墻工程，本合同項(xiàng)目的設(shè)計(jì)費(fèi)將抵做中標(biāo)合同金額的一部分。If the Party B will win the bidding in the BOSCH China R & D Headquarters Curtain Wall Project, the design charges of project will be regarded as a part of the amount for awarding Contract.第八條 設(shè)計(jì)費(fèi)的支付方式Article Eight Terms of Payments81本合同生效后7天內(nèi)，甲方向乙方預(yù)付設(shè)計(jì)費(fèi)總額的50%，計(jì)_元作為定金，本合同履行后定金自動(dòng)抵作設(shè)計(jì)費(fèi)。Within seven days upon the effectiveness of this Contract, the Party A shall pay 50% of total amount for design charges in advance, namely_yuan as the down payment. The down payment shall be counted as the design charges upon settlement of the Contract).82乙方提交本合同規(guī)定的設(shè)計(jì)文件后，一個(gè)月內(nèi)支付其余設(shè)計(jì)費(fèi)。After submitted the design documents stipulated in the Contract, the Party B shall pay the rest design charges within one month.第九條 雙方責(zé)任Article Nine Responsibilities of the Parties91甲方責(zé)任Responsibilities of the Party A911甲方按本合同第五條規(guī)定內(nèi)容，在規(guī)定的時(shí)間內(nèi)向設(shè)計(jì)人提交基礎(chǔ)資料及文件，并對(duì)其完整性、正確性及時(shí)限負(fù)責(zé)。甲方不得要求乙方違反國(guó)家有關(guān)標(biāo)準(zhǔn)進(jìn)行設(shè)計(jì)。甲方提交上述資料及文件超過(guò)規(guī)定期限，乙方按本合第六條規(guī)定的交付設(shè)計(jì)文件時(shí)間順延。The Party A shall submit basic materials and documents to the Designer within specified period as stated in Article 5 of this Contract and shall be responsible for the completeness, accuracy and time limit of the materials and documents. The Party A shall not require the Party B to conduct design in violation of relevant national standards. In case there is a delay exceeding the specified time limit for the delivery of the above materials and documents by the Party A, the time limit for the delivery of design documents submitted by Party B shall be extended accordingly; 912甲方變更委托設(shè)計(jì)項(xiàng)目、規(guī)模、條件或因提交的資料錯(cuò)誤，或所提交資料作全套修改，以致造成乙方設(shè)計(jì)返工時(shí)，雙方除另行協(xié)商簽訂補(bǔ)充協(xié)議（或加訂文件）、重新明確有關(guān)條款外，甲方應(yīng)按乙方所耗工作量給予補(bǔ)償。In case of the Party Bs re-work on the design caused by changes of design project, size and conditions by the Party A or mistakes of submitted materials, or complete revisions on submitted materials, the Parties shall conclude supplementary agreement separately (or conclude additional agreement) and redefine relevant terms and conditions, and the Party A should pay charges for re-work to the Party B according to the workload.913在合同履行期間，甲方要求終止或解除合同，乙方未開(kāi)始設(shè)計(jì)工作的，不退還已付的定金；已開(kāi)始設(shè)計(jì)工作的，甲方應(yīng)根據(jù)乙方已進(jìn)行的實(shí)際工作量，不足一半時(shí)，按該階段設(shè)計(jì)費(fèi)的一半支付；超過(guò)一半時(shí)，按該階段設(shè)計(jì)費(fèi)的全部支付。During the performance of the Contract, if the Party A requires to terminate or cancel the Contract before the Party B starts the design work, the Party B will not return the down payment already deposit paid by the Party B; if the Party B has started the design work, the Party A shall pay for the actual workload already done by the Party B. When the actual workload of the design is less than half of the work at the stage, the Party A shall pay half of design charges at the stage. When the actual workload of the design is more than half of the work at the stage, the Party A shall pay all the charges for design work at the stage.914甲方應(yīng)按本合同規(guī)定的金額和日期向乙方支付設(shè)計(jì)費(fèi)，逾期支付的，每天承擔(dān)應(yīng)支付金額百分之一的違約金，且乙方提交設(shè)計(jì)文件的時(shí)間順延。逾期超過(guò)30天以上時(shí)，乙方有權(quán)暫停履行下階段工作，并書面通知甲方。甲方或其他審批單位對(duì)設(shè)計(jì)文件不審批或本合同項(xiàng)目暫停緩建，甲方均應(yīng)支付應(yīng)付的設(shè)計(jì)費(fèi)。9.1.4 The Party A should pay the design charges to the Party B based on the amount and date provided in this Contract. For overdue payment, the Party A should pay 1% of overdue payment as penalty, and the time for delivery by the Party B shall be will be extended accordingly. If the delay of the payment exceeds more than 30 days, the Party B shall have the right to suspend the performance of the work at the next stage and give the written notice to the Party A. In case the Party A or other approval units would not approve the design documents or the construction of this Contract is suspended, the Party A should also pay the payable design charges.915甲方要求乙方在合同規(guī)定時(shí)間提前交付設(shè)計(jì)文件時(shí)，須征得乙方同意，不得嚴(yán)重背離合理設(shè)計(jì)周期，且甲方應(yīng)給予補(bǔ)償。If the Party A requires the Party B to delivery the design documents in advance within specified time, it should get the prior consent of the Party B without serious deviation from the reasonable design circle, and the Party A shall pay the compensation.916甲方應(yīng)為乙方派駐現(xiàn)場(chǎng)的工作人員提供工作、生活及交通等方面的便利條件及必要的勞動(dòng)保護(hù)裝備。The Party A should provide convenient conditions including working, living and traffic and so forth as well as necessary labor protection equipments for the workers whom the Party B appoints to the jobsite.92乙方責(zé)任Responsibilities of the Party B921乙方應(yīng)按國(guó)家規(guī)定和合同約定的技術(shù)規(guī)范標(biāo)準(zhǔn)進(jìn)行設(shè)計(jì)，按本合同第六條規(guī)定的內(nèi)容、時(shí)間及份數(shù)向甲方交付設(shè)計(jì)文件（出現(xiàn)912、913、914、915規(guī)定有關(guān)交付設(shè)計(jì)文件順延的情況除外）。并對(duì)提交的設(shè)計(jì)文件的質(zhì)量負(fù)責(zé)。The Party B should carry out design work in accordance with technical standards provided in national regulations and the Contract, and submit design documents to the Party A according to the contents、time、and copies specified in Article Six of this Contract(except for the circumstances provided in Article 912、913、914、915 under which the delivery of design documents may be extended ), and shall be responsible for the quality of the design documents.922設(shè)計(jì)合理使用年限為25年（膠、五金配件等附件為10年）。The reasonable design life is 25 years (10 years for sealant, hardware fittings and so forth).923負(fù)責(zé)對(duì)外的設(shè)計(jì)資料進(jìn)行審查，負(fù)責(zé)該合同項(xiàng)目的設(shè)計(jì)聯(lián)絡(luò)工作。The Party B shall be responsible for the inspection on foreign investors design materials and contact on the design of the project.924乙方對(duì)設(shè)計(jì)文件出現(xiàn)的遺漏或錯(cuò)誤負(fù)責(zé)修改或補(bǔ)充。The Party B shall be responsible for the revision or supplement to the mistakes or omission of the design documents.925由于乙方原因，延誤了設(shè)計(jì)文件交付時(shí)間，每延誤一天，應(yīng)減收該項(xiàng)目應(yīng)收設(shè)計(jì)費(fèi)的百分之一。If the delay for delivering design documents is produced by the Party B, each day overdue will result in the reduction of 1% of the design charges for this project.926合同生效后，乙方要求終止或解除合同，乙方應(yīng)賠償甲方十萬(wàn)元人民幣。After the commencement of Contract, if the Party B requires the termination or cancellation of the Contract, the Party B should compensate 100,000 RMB for the Party A. 927乙方交付設(shè)計(jì)文件后，應(yīng)參加甲方組織的有關(guān)單位/部門的設(shè)計(jì)審查，并根據(jù)審查結(jié)論負(fù)責(zé)不超出原定范圍的內(nèi)容做必要調(diào)整補(bǔ)充。Upon delivery of the design documents, the Party B should take part in the inspection on the design by relative units /sections organized by the Party A, and shall be responsible for necessary adjustments and supplements to the content within the original scope of the design according to the inspection conclusion. 第十條 保密Article Ten Confidentiality 雙方均應(yīng)保護(hù)對(duì)方的知識(shí)產(chǎn)權(quán)，未經(jīng)對(duì)方同意，任何一方均不得對(duì)對(duì)方的資料及文件擅自修改、復(fù)制或向第三人轉(zhuǎn)讓或用于本合同項(xiàng)目外的項(xiàng)目。如發(fā)生以上情況，泄密方應(yīng)承擔(dān)一切由此引起的后果并承擔(dān)賠償責(zé)任。Both parties shall protect each others intellectual property rights, without prior consent of the other party, neither party can revise any materials and documents, copy or transfer to a third party or use for the project other than that of this Contract. In case of the above circumstances, the disclosing party shall be responsible for any consequences they resulted and shall bear the relevant compensation. 第十一條 爭(zhēng)議Article Eleven Disputes凡因本合同引起的或與本合同有關(guān)的任何爭(zhēng)議，由雙方當(dāng)事人協(xié)商解決，協(xié)商不成的：Any disputes arising out of this Contract or related to this contract, both parties should resolve them through consultation. Where the disputes can not be settled by mediation:1、 由建設(shè)行政主管部門調(diào)解；To be submitted to the construction administrative department for mediation. 2、 調(diào)解不成的，向當(dāng)?shù)厝嗣穹ㄔ禾崞鹪V訟。If failing to reach an amicable settlement agreement, the parties shall apply to local peoples court.第十二條 合同生效及其他Article Twelve Contract Effectiveness and Miscellaneous121甲方要求乙方派專人長(zhǎng)期駐施工現(xiàn)場(chǎng)進(jìn)行配合與解決有關(guān)問(wèn)題時(shí)，雙方應(yīng)另行簽訂技術(shù)咨詢服務(wù)合同。As per the request of the Party A for dispatch of personnel to stay long on construction site so as to coordinate and solve relevant issues, the individual technical consultant service Contract shall be signed by both parties.122乙方為本合同項(xiàng)目的服務(wù)至幕墻報(bào)批結(jié)束為止。The service provided by the Party B will be concluded until the completion of submission and approval for curtain wall.123本工程項(xiàng)目中，乙方不得指定建筑材料、設(shè)備的生產(chǎn)廠或供貨商。甲方需要乙方配合建筑材料、設(shè)備的加工訂貨時(shí)，所需費(fèi)用由甲方承擔(dān)。In the project, the Party B shall not appoint manufacturers or suppliers of construction materials and equipments. Where there is a necessity that the Party B shall cooperate with the Party A in ordering the process of construction materials and equipments, the relevant expenses shall be paid by Party A.124甲方委托乙方配合引進(jìn)項(xiàng)目的設(shè)計(jì)任務(wù)，從詢價(jià)、對(duì)外談判、國(guó)內(nèi)外技術(shù)考察直至建成投產(chǎn)的各個(gè)階段，應(yīng)吸收承擔(dān)有關(guān)設(shè)計(jì)任務(wù)的設(shè)計(jì)人員參加。出國(guó)考察費(fèi)用由甲方承擔(dān)。The Party A entrusts the Party B to cooperate with the engineering work of imported project and design personnel undertaking relevant design assignment shall be included in all stages from enquiry, business negotiation, domestic and overseas technical inspection until the production period. The expenses for overseas inspection will be paid by Party A.125甲方委托乙方承擔(dān)本合同內(nèi)容以外的工作服務(wù)，需另行簽訂協(xié)議并支付費(fèi)用。Additional agreement for any other service, which the Party A entrusts the Party B to provide, however, out of the scope of the Contract, shall be signed and the payment shall be paid correspondingly.126由于不可抗力因素致使合同無(wú)法履行時(shí)，雙方應(yīng)及時(shí)協(xié)商解決。For any failure to perform any term or condition of this Contract due to the force majeure, both parties shall, in good faith, attempt to
