2025購買合同范本英文PURCHASEAGREEMENTFOR2025ThisPurchaseAgreement(this"Agreement")isenteredintoasof__,2025,byandbetween(hereinafterreferredtoasthe"Buyer")and(hereinafterreferredtoasthe"Seller").TheBuyerandtheSellermaybereferredtoindividuallyasa"Party"orcollectivelyasthe"Parties."1.RECITALS1.1TheBuyerdesirestopurchasecertaingoodsorservices(the"Goods")fromtheSeller.1.2TheSelleragreestoselltheGoodstotheBuyeruponthetermsandconditionssetforthinthisAgreement.2.DESCRIPTIONOFGOODS2.1TheGoodstobepurchasedandsoldunderthisAgreementaredescribedindetailinExhibitAattachedhereto,whichformsanintegralpartofthisAgreement.2.2TheSellerwarrantsthattheGoodsarefreefromdefectsinmaterialandworkmanshipundernormaluseandconditionsforaperiodof(the"WarrantyPeriod").3.PRICEANDPAYMENTTERMS3.1ThetotalpurchasepricefortheGoods(the"Price")shallbe,payableasfollows:(a)%ofthePriceasadeposituponsigningthisAgreement;(b)Theremaining%shallbepaid(the"FinalPaymentDate").3.2Allpaymentsshallbemadein,andanyLatepaymentsshallbearinterestattherateof%perannum,calculatedontheoutstandingamountfromthedatedueuntilthedateofpayment.4.DELIVERY4.1TheGoodsshallbedeliveredtotheBuyer'saddressspecifiedinExhibitAonorbefore(the"DeliveryDate").4.2RiskoflossordamagetotheGoodsshallpasstotheBuyerupondelivery.4.3IftheGoodsarenotdeliveredbytheDeliveryDate,theBuyermay,atitsoption,extendtheDeliveryDatebywrittennoticetotheSeller,orcancelthisAgreementandreceiveafullrefundofanypaymentsmade.5.WARRANTIESANDREPRESENTATIONS5.1TheSellerrepresentsandwarrantsthat:(a)Ithasthefullright,power,andauthoritytoenterintoandperformthisAgreement;(b)TheGoodsareoriginalandfreefromanyliens,claims,orencumbrances;(c)TheGoodsdonotinfringeuponanyintellectualpropertyrightsofanythirdparty.6.LIMITATIONOFLIABILITY6.1NeitherPartyshallbeliabletotheotherforanyindirect,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththisAgreement.6.2ThetotalaggregateliabilityofeitherPartyunderthisAgreementshallnotexceedthetotalPricepaidbytheBuyer.7.INTELLECTUALPROPERTY7.1Allintellectualpropertyrights,includingwithoutlimitationtrademarks,patents,copyrights,andlogos,containedintheGoodsshallremainthepropertyoftheSeller.7.2TheBuyershallnotcopy,reproduce,oruseanyintellectualpropertyoftheSellerwithoutpriorwrittenconsent.8.**CONFIDENTIALITY**8.1BothPartiesagreetomaintaintheconfidentialityofallinformationexchangedduringthetermofthisAgreement.8.2TheobligationsunderthissectionshallsurvivetheterminationofthisAgreement.9.FORCEMAJEURE9.1NeitherPartyshallbeliableforanyfailureordelayinperformanceduetoeventsbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,riot,罷工,orgovernmentactions.10.TERMINATION10.1EitherPartymayterminatethisAgreementwithimmediateeffectiftheotherPartybreachesanymaterialtermofthisAgreementandfailstocuresuchbreachwithindaysofwrittennotice.11.GOVERNINGLAW11.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof,withoutregardtoitsconflictoflawsprinciples.12.DISPUTERESOLUTION12.1AnydisputesarisingoutoforrelatingtothisAgreementshallberesolvedthrougharbitrationininaccordancewiththerulesoftheArbitrationAssociation.13.ENTIREAGREEMENT13.1ThisAgreementconstitutestheentireunderstandingbetweenthePartiesandsupersedesallprioragreements,representations,orunderstandings,whetheroralorwritten.14.AMENDMENTS14.1AnyamendmentstothisAgreementmustbeinwritingandsignedbybothParties.15.NOTICES15.1AllnoticesunderthisAgreementshallbeinwritinganddeliveredtotherespectiveaddressessetforthinExhibitA,ortosuchotheraddressaseitherPartymayspecifybywrittennoticetotheotherParty.INWITNESSWHEREOF,thePartieshaveexecutedthisAgreementasofthedatefirstwrittenabove.SELLER:Name:Title:Signature:Date:BUY
