2025中外合作開發(fā)合同(中英文)ContractNo.:Signedat:Date:ThisContractismadeandenteredintoonthisdayof2025,byandbetween:1.PartyA:CompanyName:Address:ContactPerson:Email:Representedby:Title:2.PartyB:CompanyName:Address:ContactPerson:Email:Representedby:Title:Recitals:WhereasPartyAandPartyBwishtoestablishacollaborativepartnershiptodevelop,innovate,andcommercializeproducts/servicesinthefieldof(hereinafterreferredtoasthe"Project"),andWhereasPartyAandPartyBhavetherespectiveexpertise,resources,andcapabilitiestojointlyundertakethedevelopmentoftheProject,Now,Therefore,thepartiesherebyagreeasfollows:1.ScopeofCooperation1.1ThepurposeofthisContractistodefinethetermsandconditionsunderwhichPartyAandPartyBwillcollaborateonthedevelopmentoftheProject.1.2TheProjectshallinclude,butshallnotbelimitedto,thefollowingactivities:1.3Thescopeofcooperationshallbeclearlydefinedintheattached"ProjectDescription"(AnnexA),whichshallbedeemedanintegralpartofthisContract.2.RightsandObligations2.1PartyA’sResponsibilities:Provideexpertiseinthefieldof;Contribute(suchasfinancialresources,technicalknow-how,etc.);Ensurecompliancewithapplicablelawsandregulationsinitsjurisdiction;CooperatewithPartyBtoachievethesuccessfulcompletionoftheProject.2.2PartyB’sResponsibilities:Provideexpertiseinthefieldof;Contribute(suchasfinancialresources,technicalknow-how,etc.);Ensurecompliancewithapplicablelawsandregulationsinitsjurisdiction;CooperatewithPartyAtoachievethesuccessfulcompletionoftheProject.2.3JointResponsibilities:Bothpartiesshalljointlyparticipateintheplanning,execution,andevaluationoftheProject;BothpartiesshallshareinformationandresourcesasnecessaryforthefulfillmentoftheProjectobjectives;BothpartiesshallmaintainregularcommunicationandmeetingstoreviewtheprogressoftheProject.3.FinancialProvisions3.1Funding:ThetotalfundingrequiredfortheProjectshallbe(hereinafterreferredtoasthe"TotalFunding").Thefundingshallbeprovidedby(PartyA/PartyB/BothParties)asfollows:3.2PaymentTerms:shallmakepaymentstoinaccordancewiththeagreedpaymentschedule(AnnexB).Allpaymentsshallbemadein(currency)andthrough(banktransfer,wiretransfer,etc.).3.3ReimbursementofExpenses:ExpensesincurredbyeitherpartyinthecourseoftheProjectshallbereimbursedaspertheattached"ExpenseReimbursementSchedule"(AnnexC).4.IntellectualProperty4.1OwnershipofIntellectualProperty:Allintellectualpropertyrights(includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets)generatedduringtheProjectshallbejointlyownedbybothparties.Thespecificallocationofownershipshallbedetailedintheattached"IntellectualPropertyAllocationAgreement"(AnnexD).4.2UseofIntellectualProperty:BothpartiesshallbeentitledtousetheintellectualpropertyforthepurposeoftheProjectanditscommercialization.AnyuseoftheintellectualpropertybeyondthescopeofthisContractshallrequirethepriorwrittenconsentoftheotherparty.5.Confidentiality5.1ConfidentialInformation:BothpartiesagreetomaintaintheconfidentialityofanyandallinformationdisclosedbytheotherpartyduringthecourseoftheProject(hereinafterreferredtoas"ConfidentialInformation").5.2Obligations:NeitherpartyshalldisclosetheConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.TheobligationsunderthissectionshallsurvivetheterminationofthisContract.6.TermandTermination6.1Term:ThisContractshallremainineffectfromthedateofsigninguntil(specificdateorcompletionoftheProject),unlessterminatedearlierinaccordancewiththetermshereunder.6.2Termination:EitherpartymayterminatethisContractwithwrittennoticetotheotherpartyintheeventofamaterialbreachofcontract,providedthatthebreachisnotremediedwithindaysofreceivingthenotice.ThisContractmayalsobeterminatedintheeventofinsolvency,bankruptcy,orliquidationofeitherparty.7.ForceMajeure7.1Intheeventofaforcemajeureevent(suchasnaturaldisasters,war,orgovernmentactions)thatpreventseitherpartyfromfulfillingitsobligationsunderthisContract,theaffectedpartyshallpromptlynotifytheotherpartyinwritingandmakereasonableeffortstomitigatetheeffectsoftheevent.7.2Neitherpartyshallbeliableforanyfailureordelayinperformanceduetoaforcemajeureevent.8.GoverningLawandDisputeResolution8.1GoverningLaw:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof(specificjurisdiction).8.2DisputeResolution:AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughfriendly協(xié)商.If協(xié)商fails,thedisputesshallbesubmittedtothe(specificcourtorarbitrationbody)forresolution.9.Miscellaneous9.1EntireAgreement:ThisContract,togetherwithitsannexes,constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereof.Anyprioragreements,understandings,orrepresentationsaresupersededbythisContract.9.2Amendments:AnyamendmentstothisContractshallbemadeinwritingandsignedbybothparties.9.3Waiver:ThefailureofeitherpartytoenforceanyprovisionofthisContractshallnotbeconstruedasawaiverofthatprovisionoroftherighttoenforceanyotherprovision.9.4Assignment:NeitherpartyshallassignortransferanyofitsrightsorobligationsunderthisContractwithoutthepriorwrittenconsentoftheotherparty.9.5Notices:Allnotices,
