訂貨合同協(xié)議英文版?ThisOrderContractAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween:Seller:[CompanyName]Apanyorganizedandexistingunderthelawsof[country],withitsprincipalplaceofbusinessat[address](hereinafterreferredtoas"Seller").Buyer:[CompanyName]Apanyorganizedandexistingunderthelawsof[country],withitsprincipalplaceofbusinessat[address](hereinafterreferredtoas"Buyer").1.SubjectMatter1.1DescriptionofGoodsorServicesSelleragreestosupply,andBuyeragreestopurchase,thefollowinggoodsorservices(the"SubjectMatter"):[Provideadetaileddescriptionofthegoodsorservices,includingspecifications,quantity,qualitystandards,deliverytime,placeofdelivery,etc.Forexample:[ProductName]:[ModelNumber]of[quantity]units.TheproductsshallmeetthequalitystandardsspecifiedintheattachedProductSpecificationSheet.Deliveryshallbemadeto[DeliveryAddress]onorbefore[DeliveryDate].Services:Sellershallprovide[ServiceDescription],includingbutnotlimitedto[listkeyserviceponents],within[ServiceCompletionTimeframe]afterthereceiptofBuyer'swrittennoticetomencetheservices.]2.PriceandPayment2.1PriceThetotalpricefortheSubjectMattershallbe[TotalAmountinWords]in[currency](the"Price").ThePriceisinclusiveofallcostsrelatedtothegoodsorservices,includingbutnotlimitedtomanufacturing,packaging,transportation,insurance,taxes(except[specifictaxesexcluded]),andanyotherchargesnecessarytodeliverthegoodsorservicesinaccordancewiththisAgreement.2.2PaymentTermsBuyershallpaythePriceasfollows:[PaymentSchedule,e.g.,adepositof[Percentage]%ofthePriceshallbepaidwithin[x]daysafterthesigningofthisAgreement.Theremainingbalanceof[Amount]shallbepaiduponsuccessfuldeliveryandacceptanceofthegoodsorpletionoftheservices,apaniedbySeller'sinvoice.]Paymentshallbemadeby[PaymentMethod,e.g.,wiretransfertoSeller'sbankaccount:[BankName],[AccountNumber]].3.Delivery3.1DeliveryTimeSellershalldelivertheSubjectMatterinaccordancewiththedeliveryschedulespecifiedinSection1.1.Incaseofanydelayindelivery,SellershallnotifyBuyerimmediatelyandprovideareviseddeliveryschedule.3.2DeliveryPlaceThedeliveryshallbemadetotheaddressspecifiedinSection1.1.Sellershallberesponsibleforallcostsandrisksassociatedwiththetransportationofthegoodsuntiltheyaredeliveredtothespecifieddeliveryplace.3.3DeliveryDocumentationUpondelivery,SellershallprovideBuyerwiththefollowingdeliverydocumentation:Billofladingorothertransportdocumentsevidencingtheshipmentofthegoods.Commercialinvoiceindicatingthedetailsofthegoods,quantity,price,andtotalamount.Packinglistshowingthedetailsofthepackagingandcontentsofeachpackage.CertificateofqualityinspectionstatingthatthegoodsmeetthequalitystandardsspecifiedinthisAgreement.4.TitleandRiskofLoss4.1TitleTitletothegoodsshallpasstoBuyerupondeliveryofthegoodstothespecifieddeliveryplaceinaccordancewiththisAgreement.4.2RiskofLossTheriskoflossordamagetothegoodsshallpasstoBuyerupondelivery.However,ifthegoodsaredamagedduringtransportationduetoSeller'snegligenceorimproperpackaging,SellershallberesponsibleforreplacingorrepairingthedamagedgoodsatnoadditionalcosttoBuyer.5.InspectionandAcceptance5.1InspectionRightsBuyershallhavetherighttoinspectthegoodsupondelivery.Buyershallconducttheinspectionwithin[InspectionPeriod]daysafterthereceiptofthegoods.IfBuyerdiscoversanydefectsornonpliancewiththequalitystandardsduringtheinspection,BuyershallnotifySellerinwritingwithintheinspectionperiod.5.2AcceptanceCriteriaThegoodsshallbeconsideredacceptediftheymeetthequalitystandardsspecifiedinthisAgreementandanyrelevantindustrystandards.IfBuyerfailstonotifySellerofanydefectswithintheinspectionperiod,thegoodsshallbedeemedtohavebeenacceptedbyBuyer.5.3RejectionandRemedyIfBuyerrejectsthegoodsduetodefectsornonpliance,Sellershall,atitsoption,eitherreplacethedefectivegoodswithconforminggoodswithin[RemedyPeriod]daysafterreceivingBuyer'snotice,orrefundtheportionofthePricecorrespondingtotherejectedgoods.Sellershallbearallcostsassociatedwiththereplacementorrefund.6.Seller'sRepresentationsandWarranties6.1TitleandAuthoritySellerrepresentsandwarrantsthatithasthelegalrightandauthoritytoenterintothisAgreementandtosupplytheSubjectMatter.Sellerfurtherrepresentsandwarrantsthatthegoodsorservicessuppliedshallbefreefromanyliens,encumbrances,orthirdpartyclaims.6.2QualityandComplianceSellerrepresentsandwarrantsthatthegoodsorservicessuppliedshallconformtothequalitystandardsspecifiedinthisAgreementandallapplicablelawsandregulations.SellershallindemnifyandholdBuyerharmlessfromanylosses,damages,liabilities,orexpensesarisingoutofanybreachofthiswarranty.6.3IntellectualPropertyRightsSellerrepresentsandwarrantsthatthegoodsorservicessupplieddonotinfringeuponanyintellectualpropertyrightsofanythirdparty.IfanyclaimofintellectualpropertyinfringementismadeagainstBuyerinconnectionwiththeuseofthegoodsorservices,SellershalldefendBuyeragainstsuchclaimandindemnifyBuyerforallresultinglosses,damages,liabilities,andexpenses.7.Buyer'sRepresentationsandWarranties7.1PaymentAbilityBuyerrepresentsandwarrantsthatithasthefinancialabilitytopaythePriceinaccordancewiththepaymenttermsspecifiedinthisAgreement.7.2CompliancewithLawsBuyerrepresentsandwarrantsthatitsuseofthegoodsorservicesshallplywithallapplicablelawsandregulations.8.Confidentiality8.1ConfidentialInformationEachpartyacknowledgesthatinthecourseofperformingthisAgreement,itmayhaveaccesstocertainconfidentialinformationoftheotherparty(the"ConfidentialInformation").ConfidentialInformationshallinclude,butnotbelimitedto,businessplans,productdesigns,customerlists,andfinancialinformation.8.2ObligationofConfidentialityEachpartyshallkeeptheConfidentialInformationconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.However,thisobligationofconfidentialityshallnotapplytoinformationthat:Isalreadyinthepublicdomainthroughnofaultofthereceivingparty.Isrequiredtobedisclosedbylaworbyacourtorotherregulatoryauthority.Isdisclosedtothereceivingparty'semployees,agents,orcontractorswhoneedtoknowtheinformationforthepurposeofperformingthisAgreementandwhoareboundbyconfidentialityobligationssimilartothosecontainedinthissection.8.3ReturnofConfidentialInformationUpontheterminationorexpirationofthisAgreement,eachpartyshallpromptlyreturntotheotherpartyallConfidentialInformationinitspossessionorcontrol,ordestroysuchConfidentialInformation,attheoptionofthedisclosingparty.9.TermandTermination9.1TermThisAgreementshallmenceonthedateofitsexecutionandshallremaininforceforaperiodof[TermDuration](the"Term").9.2TerminationbyAgreementThisAgreementmaybeterminatedbymutualwrittenagreementofthepartiesatanytime.9.3TerminationforBreachEitherpartymayterminatethisAgreementimmediatelyuponwrittennoticetotheotherpartyiftheotherpartymateriallybreachesanyprovisionofthisAgreementandfailstocuresuchbreachwithin[CurePeriod]daysafterreceivingwrittennoticeofthebreach.9.4ConsequencesofTerminationUponterminationofthisAgreement,allobligationsofthepartieshereundershallcease,exceptforthoseobligationsthatbytheirnatureareintendedtosurvivetermination,suchastheobligationsofconfidentialityandpaymentofamountsalreadydueandpayable.10.ForceMajeure10.1Definition"ForceMajeure"shallmeananyeventorcircumstancethatisbeyondthereasonablecontrolofaparty,includingbutnotlimitedtoactsofGod,naturaldisasters,wars,riots,strikes,lockouts,governmentactions,andanyothersimilareventsorcircumstancesthatpreventapartyfromperformingitsobligationsunderthisAgreement.10.2EffectofForceMajeureIfapartyisunabletoperformitsobligationsunderthisAgreementduetoForceMajeure,suchpartyshallnotbeliableforanybreachofthisAgreementtotheextentofthefailurecausedbyForceMajeure.However,thepartyaffectedbyForceMajeureshallnotifytheotherpartypromptlyoftheoccurrenceofForceMajeureandshalluseitsbesteffortstominimizetheimpactofForceMajeureontheperformanceofthisAgreement.11.違約責(zé)任11.1Seller'sLiabilityforBreachIfSellerfailstodelivertheSubjectMatterinaccordancewiththedeliveryschedule,orifthegoodsorservicesdonotconformtothequalitystandardsspecifiedinthisAgreement,Sellershallbeliableforthefollowing:PayliquidateddamagestoBuyerinanamountequalto[LiquidatedDamagesPercentage]%ofthePriceforeachdayofdelayindelivery,uptoamaximumof[LiquidatedDamagesCap]%ofthePrice.ReplaceorrepairthenonconforminggoodsorservicesatnoadditionalcosttoBuyerwithinthetimeperiodspecifiedinSection5.3.IndemnifyBuyerforalllosses,damages,liabilities,andexpensesarisingoutofSeller'sbreach,includingbutnotlimitedtodirectlosses,indirectlosses,lostprofits,andlegalfees.11.2Buyer'sLiabilityforBreachIfBuyerfailstopaythePriceinaccordancewiththepaymentterms,Buyershallbeliableforthefollowing:Payinterestontheoverdueamountattherateof[InterestRate]%perannumfromtheduedateuntilthedateofpayment.CompensateSellerforanylosses,damages,andexpensesresultingfromBuyer'sdelayinpayment,includingbutnotlimitedtocollectioncostsandlegalfees.12.DisputeResolution12.1NegotiationIntheeventofanydisputearisingoutoforinconnectionwiththisAgreement,thepartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiationwithin[NegotiationPeriod]daysaftereitherpartygivesnoticeofthedisputetotheotherparty.12.2ArbitrationorLitigationIfthepartiesareunabletoresolvethedisputethroughnegotiation,thedisputeshallberesolvedasfollows:[ArbitrationOption:Thedisputeshallbesubmittedtoarbitrationina
