1.TermofAgreement

2.MembershipRightsandObligations

b)ParticipationinClubactivities,events,andcompetitions;

c)UseofanyspecialdiscountsoroffersprovidedbytheClub;

d)Therighttoreceivenewsletters,updates,andothercommunicationsfromtheClub.

2.2PartyBshallassumethefollowingobligationsasaMemberoftheClub:

a)PaythemembershipfeeassetforthinArticle3;

b)ComplywiththeClub'srules,regulations,andpolicies;

c)MaintaintheconfidentialityofanypersonalinformationprovidedtotheClub;

d)PromptlynotifytheClubofanychangesinpersonalinformation.

3.MembershipFee

a)FailureofPartyBtopaytheMembershipFeewithin[NumberofDays]daysaftertheduedate;

b)BreachofanytermorconditionofthisAgreementbyPartyB;

c)AnyactoromissionbyPartyBthatcausesharmtothereputationorinterestsoftheClub.

5.Confidentiality

Thepartiesagreetomaintaintheconfidentialityofanyproprietaryinformation,tradesecrets,orothersensitiveinformationdisclosedtothembytheotherpartyduringtheTermandforaperiodof[NumberofYears]yearsthereafter.

6.GoverningLawandJurisdiction

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Country/Region].AnydisputesarisingfromorinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[Country/Region].

9.1PartyBagreesnottodisparagetheCluboritsservicesandtorefrainfromengaginginanyactivitythatcouldreasonablybeexpectedtoharmthereputationorbusinessoftheClub.

9.2PartyBagreesnottoengageinanycompetingbusinessoractivitythatissimilartotheClub'sbusinessduringtheTermandforaperiodof[NumberofYears]yearsthereafter.

10.ForceMajeure

10.1NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,naturaldisasters,war,civilunrest,orgovernmentactions.
