2.Payment

2.2Thepaymentscheduleshallbeasfollows:

3.Performance

3.1TheSubcontractorshallperformtheSubcontractWorkinaccordancewiththeScopeofWork,applicablelaws,regulations,andindustrystandards.

3.2TheSubcontractorshallensurethattheSubcontractWorkisperformedinasafe,efficient,andtimelymanner.

3.3TheSubcontractorshallprovideallnecessarylabor,equipment,materials,andservicesrequiredfortheperformanceoftheSubcontractWork.

4.Insurance

4.1TheSubcontractorshallmaintain,atitsownexpense,allnecessaryinsurancepolicies,includingbutnotlimitedtogeneralliabilityinsurance,workers'compensationinsurance,andprofessionalliabilityinsurance,withcoveragelimitssatisfactorytotheContractor.

4.2TheSubcontractorshallprovideproofofinsurancetotheContractoruponexecutionofthisContract.

5.Termination

5.1EitherpartymayterminatethisContractinwriting,upontheoccurrenceofanyofthefollowingevents:

a.AbreachofanymaterialtermorconditionofthisContractbytheotherparty;

b.AfailurebytheotherpartytoperformitsobligationsunderthisContract;

c.Aneventofbankruptcy,insolvency,orliquidationoftheotherparty.

5.2UponterminationofthisContract,theContractorshallpaytheSubcontractorfortheworkperformeduptothedateoftermination.

6.DisputeResolution

6.1AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughgoodfaithnegotiationsbetweentheparties.

6.2Ifthepartiesareunabletoresolvethedisputethroughnegotiations,thedisputeshallbesubmittedtoarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].

7.GoverningLaw

6.Contractor'sRightsandObligations
