2.CreditFacility

a.TheIssuerherebyagreestoprovidetheApplicantwithacreditfacilityinanamountnotexceedingtheCreditLimitspecifiedinthisAgreement.

b.TheApplicantshallbeentitledtodrawdownthecreditfacilityinaccordancewiththetermsandconditionssetforthinthisAgreement.

3.DrawdownofCredit

b.TheApplicantshallprovidetheIssuerwithallnecessarydocumentationforthedrawdownofthecreditfacility.

4.RepaymentofCredit

b.TheApplicantshallmaketimelypaymentsofprincipalandinterestonthecreditfacility.

5.FeesandCharges

a.TheApplicantshallpayallfeesandchargesassociatedwiththecreditfacilityassetforthinthisAgreement.

b.TheIssuerreservestherighttoadjustthefeesandchargesassociatedwiththecreditfacilityfromtimetotime.

6.GoverningLawandDisputeResolution

a.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionwheretheIssuerislocated.

b.AnydisputesarisingfromorinconnectionwiththisAgreementshallberesolvedthroughamicablenegotiationsbetweentheparties.Ifthepartiesfailtoreachanamicableresolution,thedisputeshallbesubmittedtothecompetentcourtofthejurisdictionwheretheIssuerislocatedforresolution.

3.RightsandObligationsoftheApplicant

4.ObligationsoftheApplicant
