股權(quán)轉(zhuǎn)讓合同協(xié)議英文版?ThisEquityTransferContractAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetweenthefollowingparties:Transferor:[Nameofthetransferor],a[typeofentity]organizedandexistingunderthelawsof[jurisdiction],withitsprincipalplaceofbusinessat[address](hereinafterreferredtoas"PartyA").Transferee:[Nameofthetransferee],a[typeofentity]organizedandexistingunderthelawsof[jurisdiction],withitsprincipalplaceofbusinessat[address](hereinafterreferredtoas"PartyB").I.SubjectMatteroftheTransferPartyAholds[x]%oftheequityinterestsin[Nameofthepany](the"Company"),whichrepresents[number]oftheCompany'sregisteredcapitalof[totalregisteredcapitalamount].PartyAherebyagreestotransferallofitsequityinterestsintheCompanytoPartyB,andPartyBherebyagreestoacquiresuchequityinterestsfromPartyA.II.ConsiderationfortheTransferTheconsiderationforthetransferoftheequityinterestsshallbeRMB[amount](inwords:[writtenamount]).PartyBshallpaytheconsiderationtoPartyAinthefollowingmanner:[Paymentmethodandscheduledetails]III.RightsandObligationsofthePartiesA.RightsandObligationsofPartyA1.PartyArepresentsandwarrantsthatitisthelegalandbeneficialowneroftheequityintereststobetransferred,freeandclearofanyliens,encumbrances,restrictions,orotherthirdpartyrights.2.PartyAshallprovideallnecessarydocuments,information,andassistancetoPartyBtofacilitatethepletionoftheequitytransferprocedures,includingbutnotlimitedtosigningrelevanttransferagreements,providingfinancialstatements,andassistinginpanyregistrationchanges.3.PartyAshallindemnifyandholdPartyBharmlessfromandagainstanyandalllosses,damages,liabilities,claims,andexpensesarisingoutoforinconnectionwithanybreachoftherepresentations,warranties,andcovenantsmadebyPartyAinthisAgreement.4.PartyAshallberesponsibleforhandlinganyoutstandingtaxes,fees,orotherobligationsrelatedtotheequityinterestsbeforethetransfer.B.RightsandObligationsofPartyB1.PartyBshallpaytheconsiderationfortheequitytransferinaccordancewiththepaymentmethodandschedulespecifiedinthisAgreement.2.PartyBrepresentsandwarrantsthatithasthelegalcapacityandfinancialabilitytoacquiretheequityinterestsandwillperformallobligationsunderthisAgreement.3.PartyBshallindemnifyandholdPartyAharmlessfromandagainstanyandalllosses,damages,liabilities,claims,andexpensesarisingoutoforinconnectionwithanybreachoftherepresentations,warranties,andcovenantsmadebyPartyBinthisAgreement.4.PartyBshallberesponsibleforanytaxes,fees,orotherobligationsarisingfromtheacquisitionoftheequityinterestsafterthetransfer.IV.TransferProcedures1.Thepartiesshall,within[numberofdays]daysaftertheexecutionofthisAgreement,jointlysubmitallnecessaryapplicationsanddocumentstotherelevantindustrialandmercialadministrativedepartmentfortheregistrationoftheequitytransfer.2.PartyAshallassistPartyBinobtainingallapprovals,permits,andregistrationsrequiredforthetransferoftheequityinterestsinatimelymanner.V.RepresentationsandWarrantiesA.GeneralRepresentationsandWarranties1.EachpartyrepresentsandwarrantstotheotherpartythatithasthelegalrightandauthoritytoenterintoandperformthisAgreement.2.ThisAgreementconstitutesthelegal,valid,andbindingobligationofeachparty,enforceableagainstsuchpartyinaccordancewithitsterms.B.RepresentationsandWarrantiesofPartyA1.Theequityintereststobetransferredarefreefromanyliens,encumbrances,restrictions,orotherthirdpartyrights.2.PartyAhasprovidedalltrue,accurate,andpletefinancialstatementsandotherrelevantinformationregardingtheCompanytoPartyB.3.Therearenooutstandinglegaldisputes,lawsuits,orarbitrationsinvolvingtheequityinterestsortheCompanythatmayhaveamaterialadverseimpactonthetransfer.C.RepresentationsandWarrantiesofPartyB1.PartyBhassufficientfinancialresourcestopaytheconsiderationfortheequitytransfer.2.PartyBwillplywithalllaws,regulations,andpoliciesapplicabletotheacquisitionoftheequityinterests.VI.Confidentiality1.EachpartyshallkeepconfidentialallinformationobtainedfromtheotherpartyduringthenegotiationandperformanceofthisAgreement,includingbutnotlimitedtobusinesssecrets,financialinformation,andtechnicalknowhow.2.Withoutthepriorwrittenconsentoftheotherparty,neitherpartyshalldisclosesuchconfidentialinformationtoanythirdparty,exceptasrequiredbylaw.VII.GoverningLawandJurisdiction1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[jurisdiction].2.AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubmittedtothe[nameofthearbitrationinstitution]forarbitrationinaccordancewithitsarbitrationrules.Thearbitrationawardshallbefinalandbindingonbothparties.VIII.ForceMajeure1.IfeitherpartyisunabletoperformitsobligationsunderthisAgreementduetoforcemajeureevents,suchasnaturaldisasters,wars,governmentactions,orotherunforeseeable,unavoidable,andinsurmountableevents,theperformanceofsuchobligationsshallbesuspendedduringtheperiodofforcemajeure.2.Thepartyaffectedbyforcemajeureshallnotifytheotherpartyinwritingwithin[numberofdays]daysaftertheoccurrenceoftheforcemajeureeventandshallproviderelevantevidence.Ix.AmendmentsandSupplements1.AnyamendmentorsupplementtothisAgreementshallbemadeinwritingandsignedbybothparties.2.AmendmentsandsupplementsshallbeanintegralpartofthisAgreementandshallhavethesamelegaleffectasthisAgreement.x.SeverabilityIfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnowayinanywaybeaffectedorimpaired.xI.EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsand
