ilityforBreach8.1Seller'sLiabilityforBreachIftheSellerfailstodelivertheSubjectMatterinaccordancewiththeagreeddeliverytime,orifthequalityoftheSubjectMatterdoesnotmeetthecontractrequirements,theSellershallbeliableforbreachofcontract.TheSellershall,attheoptionoftheBuyer,either:DelivertheSubjectMatterwithinareasonabletimeandpensatetheBuyerforanylossescausedbythedelay;orReducethepurchasepriceproportionallyaccordingtothedegreeofnonpliance;orAcceptthereturnoftheSubjectMatterandrefundtheBuyerthefullpurchasepriceplusanyreasonableinterestanddamagessufferedbytheBuyer.8.2Buyer'sLiabilityforBreachIftheBuyerfailstomakethepaymentinaccordancewiththepaymentterms,theBuyershallbeliableforbreachofcontract.TheBuyershallpaytheoverdueamountplusinterestattherateof[x%]perannumfromtheduedateuntilthefullpaymentismade.Inaddition,theSellerhastherighttosuspendthedeliveryoftheSubjectMatteruntiltheBuyerhasclearedtheoverduepayment.9.ForceMajeureNeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisContractduetoforcemajeureevents,suchasnaturaldisasters(e.g.,earthquake,flood,typhoon),war,riot,strike,governmentactions,orotherunforeseeable,unavoidable,andinsurmountableevents.However,thepartyaffectedbytheforcemajeureeventshallnotifytheotherpartyinwritingassoonaspossibleandproviderelevantevidencetoprovetheexistenceandimpactoftheforcemajeureevent.ThepartiesshallthennegotiateingoodfaithtodeterminetheappropriatemeasurestobetakentomitigatetheeffectsoftheforcemajeureeventandtoresumetheperformanceofthisContract.10.DisputeResolution10.1NegotiationIncaseofanydisputearisingoutoforinconnectionwiththisContract,thepartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiationwithin[x]daysaftertheoccurrenceofthedispute.10.2ArbitrationorLitigationIfthenegotiationfails,thepartiesshallchooseeitherarbitrationorlitigationasthemethodofdisputeresolution:Arbitration:Thedisputeshallbesubmittedtothe[ArbitrationInstitutionName]forarbitrationinaccordancewithitsarbitrationrules.Thearbitrationawardshallbefinalandbindingonbothparties.Litiga
