1.SubjectMatter

TheSelleragreestosellandtheBuyeragreestobuythefollowinggoodsorservices(the"SubjectMatter"):

2.PriceandPaymentTerms

2.1Price

ThetotalpricefortheSubjectMatteris[currency][amount].Thispriceisinclusiveofallcostsrelatedtothegoodsorservices,includingbutnotlimitedtomanufacturing,packaging,transportation,insurance,andtaxes(exceptforanytaxesspecificallyimposedontheBuyer).

2.2PaymentTerms

TheBuyershallpaytheSellerinthefollowingmanner:

3.Delivery

3.1DeliveryTime

TheSellershalldelivertheSubjectMattertotheBuyeratthefollowingtime:

IftheSubjectMatterisgoods,theSellershalldeliverthegoodswithin[numberofdays]daysafterreceivingtheadvancepayment.

IftheSubjectMatterisservices,theSellershallmenceprovidingtheserviceswithin[numberofdays]daysafterreceivingtheadvancepaymentandpletetheserviceswithin[totalnumberofdaysforservicepletion]days.

3.2DeliveryLocation

Thedeliverylocationshallbe[addressofthedeliverylocation].IftheBuyerrequiresthegoodsorservicestobedeliveredtoanotherlocation,theBuyershallbeartheadditionaltransportationcosts.

3.3DeliveryMethod

4.InspectionandAcceptance

4.1InspectionRight

UponreceiptoftheSubjectMatter,theBuyershallhavetherighttoinspectthegoodsorserviceswithin[numberofdays]days.TheBuyershallconductaprehensiveinspectiontoverifywhetherthegoodsorservicesconformtothespecifications,qualitystandards,andquantityrequirementsstipulatedinthisAgreement.

4.2AcceptanceCriteria

TheSubjectMattershallbeconsideredacceptedifitmeetsthefollowingacceptancecriteria:

ThegoodsorservicesshallconformtothequalitystandardsandspecificationsagreeduponinthisAgreement.

Thequantityofthegoodsshallbeconsistentwiththequantityspecifiedintheinvoiceandpackinglist.

Thereshallbenodefectsordamagesthataffectthenormaluseofthegoodsortheperformanceoftheservices.

4.3NoticeofNonConformance

IftheBuyerdiscoversanynonconformanceduringtheinspectionperiod,theBuyershallnotifytheSellerinwritingwithin[numberofdays]daysafterthediscovery.Thenoticeshallspecifythedetailsofthenonconformance,includingthequantity,nature,andlocationoftheproblem.

5.RightsandObligationsoftheParties

5.1Seller'sRightsandObligations

Rights:

TheSellerhastherighttoreceivethepaymentfromtheBuyerinaccordancewiththepaymenttermsofthisAgreement.

TheSellerhastherighttorequiretheBuyertoprovidenecessarycooperationandinformationfortheperformanceofthisAgreement.

Obligations:

TheSellershallprovidetheSubjectMatterinaccordancewiththequalitystandards,specifications,quantity,anddeliverytimestipulatedinthisAgreement.

TheSellershallberesponsibleforthelegalityandplianceofthegoodsorservicesprovided,andshallindemnifytheBuyeragainstanylosses,damages,liabilities,orclaimsarisingfromanylegalissuesrelatedtothegoodsorservices.

TheSellershallkeepconfidentialanytradesecrets,technicalinformation,orotherconfidentialinformationobtainedfromtheBuyerduringtheperformanceofthisAgreement.

5.2Buyer'sRightsandObligations

Rights:

TheBuyerhastherighttoinspecttheSubjectMatterandrejectitifitdoesnotmeettheacceptancecriteria.

TheBuyerhastherighttorequiretheSellertocorrectanynonconformingissueswithinareasonabletime.

Obligations:

TheBuyershallpaytheSellerthepurchasepriceinaccordancewiththepaymenttermsofthisAgreement.

TheBuyershallprovidetheSellerwithnecessarycooperationandinformationrequiredfortheperformanceofthisAgreement,suchasdeliveryinstructions,productspecifications,etc.

TheBuyershalltakereasonablecareoftheSubjectMatterafterreceiptandbeforeacceptance.IfanydamageorlossoccursduringthisperiodduetotheBuyer'snegligence,theBuyershallbeliablefortheconsequences.

6.Warranty

6.1WarrantyPeriod

TheSellerwarrantsthattheSubjectMattershallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[numberofmonths/years]fromthedateofdelivery.

6.2WarrantyContent

Duringthewarrantyperiod,theSellershall,atitsownexpense,repairorreplaceanydefectivepartsorprovidereplacementservicesforthedefectivegoodsorservices,ifany,upontheBuyer'swrittennotice.

6.3ExclusionsfromWarranty

TheSeller'swarrantydoesnotapplytothefollowingsituations:

Damageordefectscausedbyimproperuse,misuse,abuse,negligence,orunauthorizedmodificationbytheBuyer.

Normalwearandtear.

Damageordefectsresultingfromforcemajeureevents.

7.IntellectualPropertyRights

TheSellerrepresentsandwarrantsthatithasthelegalrighttoselltheSubjectMatterandthatthesaleoftheSubjectMatterdoesnotinfringeuponanythirdpartyintellectualpropertyrights.TheBuyershallhavetherighttousetheSubjectMatterforitsownbusinesspurposeswithoutinfringinguponanythirdpartyintellectualpropertyrights.IncaseofanydisputesregardingintellectualpropertyrightsarisingfromtheperformanceofthisAgreement,thepartyresponsibleshallbearalllegalliabilitiesandindemnifytheotherpartyagainstanylossessuffered.

8.Confidentiality

EachpartyshallkeepconfidentialallinformationrelatedtothisAgreement,includingbutnotlimitedtothetermsandconditionsoftheAgreement,businesssecrets,technicalinformation,andcustomerinformation.Withoutthepriorwrittenconsentoftheotherparty,neitherpartyshalldisclosesuchinformationtoanythirdparty.ThisconfidentialityobligationshallsurvivetheterminationorexpirationofthisAgreementforaperiodof[numberofyears].

9.ForceMajeure

NeitherpartyshallbeliableforanydelayorfailureinperformingitsobligationsunderthisAgreementduetoforcemajeureevents,includingbutnotlimitedtonaturaldisasters,wars,strikes,lockouts,governmentregulations,andotherunforeseeable,unavoidable,andinsurmountableevents.However,thepartyaffectedbytheforcemajeureeventshallnotifytheotherpartyinwritingassoonaspossibleandprovidedetailedinformationabouttheforcemajeureeventanditsexpectedduration.TheaffectedpartyshalluseitsbesteffortstominimizetheimpactoftheforcemajeureeventontheperformanceofthisAgreement.

10.Termination

10.1TerminationbyAgreement

ThisAgreementmaybeterminatedbymutualwrittenagreementoftheSellerandtheBuyer.

10.2TerminationforBreach

IfeitherpartymateriallybreachesthisAgreementandfailstocurethebreachwithin[numberofdays]daysafterreceivingwrittennoticefromtheotherparty,thenonbreachingpartyhastherighttoterminatethisAgreement.

10.3ConsequencesofTermination

UponterminationofthisAgreement,thefollowingshallapply:

TheBuyershallreturnanyundeliveredgoodsinitspossessiontotheSeller,andtheSellershallrefundanyprepaidamountstotheBuyer,minusanyreasonabledeductionsfortheuseordamageofthegoodsorservicesalreadyreceivedbytheBuyer.

EachpartyshallceasetoperformitsobligationsunderthisAgreement,exceptforthoseobligationsthatsurvivetermination,suchastheconfidentialityobligationandtheobligationtoindemnifyforpastevents.

11.DisputeResolution

11.1Negotiation

IncaseofanydisputesarisingoutoforinconnectionwiththisAgreement,thepartiesshallfirstattempttoresolvethedisputesthroughfriendlynegotiationwithin[numberofdays]daysaftertheoccurrenceofthedispute.
