2025工程承包合同中英文對照版本2025EngineeringContractingAgreement(Sino-EnglishVersion)正文1.合同雙方(PartiestotheContract)本合同由以下雙方于年月日在簽訂：甲方(PartyA)：（以下簡稱“發(fā)包人”或“甲方”）乙方(PartyB)：（以下簡稱“承包人”或“乙方”）雙方根據(jù)中華人民共和國《合同法》及相關(guān)法律法規(guī)，本著平等、自愿、誠實信用的原則，經(jīng)友好協(xié)商，就工程承包事項達(dá)成一致，并簽訂本合同。2.工程概況(DescriptionoftheEngineeringProject)2.1工程名稱(ProjectName)：2.2工程地點(ProjectLocation)：2.3工程內(nèi)容(ScopeofWork)：2.4工程規(guī)模(ScaleoftheProject)：2.5質(zhì)量標(biāo)準(zhǔn)(QualityStandards)：3.承包范圍(ScopeofContracting)3.1乙方同意按本合同約定，承擔(dān)該工程的設(shè)計、施工、竣工及缺陷修復(fù)等全部或部分工作。3.2具體承包范圍詳見本合同附件，該附件為本合同不可分割的一部分。4.合同期限(TermoftheContract)4.1開工日期(CommencementDate)：4.2竣工日期(CompletionDate)：4.3合同期限為自開工之日起至竣工驗收合格之日止，共計天。4.4如遇不可抗力或其他非乙方原因?qū)е碌墓て谘诱`，雙方可協(xié)商順延工期，具體順延方式詳見本合同第條。5.合同價款與支付(ContractPriceandPayment)5.1合同總價(TotalContractPrice)：人民幣元（大寫：）5.2付款方式(PaymentMethods)：第一期付款：合同簽訂后日內(nèi)，甲方向乙方支付合同總價的%；第二期付款：完成并經(jīng)甲方書面確認(rèn)后日內(nèi)，甲方向乙方支付合同總價的%；第三期付款：工程竣工驗收合格后日內(nèi)，甲方向乙方支付合同總價的%；尾款：質(zhì)保期滿后日內(nèi)，甲方向乙方支付剩余款項。5.3乙方應(yīng)提供符合要求的發(fā)票，甲方在收到發(fā)票后按照約定時間支付款項。6.雙方權(quán)利與義務(wù)(RightsandObligationsofBothParties)6.1甲方的權(quán)利與義務(wù)(DutiesandObligationsofPartyA)6.1.1按時支付合同款項，不得無故拖延；6.1.2提供乙方施工所需的相關(guān)資料及批準(zhǔn)文件；6.1.3監(jiān)督乙方施工進(jìn)度及質(zhì)量，發(fā)現(xiàn)問題及時通知乙方整改；6.1.4按時組織竣工驗收并及時簽署驗收意見。6.2乙方的權(quán)利與義務(wù)(DutiesandObligationsofPartyB)6.2.1按時完成承包范圍內(nèi)的工程任務(wù)，確保工程質(zhì)量達(dá)到合同約定的標(biāo)準(zhǔn)；6.2.2嚴(yán)格遵守國家及地方的法律法規(guī)，保證施工安全，做好施工現(xiàn)場管理；6.2.3對施工過程中產(chǎn)生的廢棄物、噪音等進(jìn)行合理處理，減少對周邊環(huán)境的影響；6.2.4負(fù)責(zé)工程竣工后的缺陷修復(fù)，質(zhì)保期內(nèi)免費維修。7.工程質(zhì)量與驗收(QualityandAcceptanceoftheProject)7.1工程質(zhì)量應(yīng)符合國家及地方的相關(guān)標(biāo)準(zhǔn)及合同約定的質(zhì)量要求。7.2工程隱蔽部分施工完畢后，乙方應(yīng)通知甲方進(jìn)行驗收，甲方應(yīng)在接到通知后小時內(nèi)進(jìn)行驗收，并簽署驗收意見。7.3竣工驗收應(yīng)由甲乙雙方共同參與，驗收標(biāo)準(zhǔn)詳見本合同附件。7.4如工程驗收不合格，乙方應(yīng)按甲方要求整改并承擔(dān)相關(guān)費用，整改完成后重新組織驗收。8.違約責(zé)任(LiabilityforBreachofContract)8.1甲方違約責(zé)任(LiabilityofPartyA)8.1.1甲方未按約定支付合同款項，每逾期一日，應(yīng)按逾期金額的%支付違約金；8.1.2甲方提供的資料或批準(zhǔn)文件不全或有誤而導(dǎo)致工程延誤，甲方應(yīng)承擔(dān)相應(yīng)責(zé)任。8.2乙方違約責(zé)任(LiabilityofPartyB)8.2.1乙方未按合同約定工期完成工程，每逾期一日，應(yīng)按合同總價的%支付違約金；8.2.2工程質(zhì)量未達(dá)到約定標(biāo)準(zhǔn)，乙方應(yīng)返工并承擔(dān)相關(guān)費用，且工期不順延；8.2.3乙方在施工過程中發(fā)生安全責(zé)任事故，乙方應(yīng)承擔(dān)全部責(zé)任并賠償甲方遭受的損失。9.爭議解決(DisputeResolution)9.1因本合同引起的或與本合同有關(guān)的任何爭議，雙方應(yīng)通過友好協(xié)商解決；9.2協(xié)商不成的，任何一方均可向工程所在地有管轄權(quán)的人民法院提起訴訟。10.其他條款(MiscellaneousProvisions)10.1本合同未盡事宜，雙方可另行簽訂補(bǔ)充協(xié)議，補(bǔ)充協(xié)議與本合同具有同等法律效力；10.2本合同一式份，甲乙雙方各執(zhí)份，具有同等法律效力；10.3本合同自雙方簽字蓋章之日起生效。甲方簽署(SignatureofPartyA)簽字：日期：乙方簽署(SignatureofPartyB)簽字：日期：附件(Attachments)附件1：承包范圍詳細(xì)說明附件2：質(zhì)量標(biāo)準(zhǔn)及驗收要求附件3：付款方式及發(fā)票要求（以上為中文正文部分，以下為英文對照版本）2025EngineeringContractingAgreement(Sino-EnglishVersion)MainText1.PartiestotheContractThisContractisconcludedonyearmonthdayinthePeople'sRepublicofChinabetweenthefollowingtwoparties:PartyA(thePrincipal):(hereinafterreferredtoas"發(fā)包人"or"甲方")PartyB(theContractor):(hereinafterreferredtoas"承包人"or"乙方")Thetwopartieshereto,inaccordancewiththeContractLawofthePeople'sRepublicofChinaandrelevantlawsandregulations,andbasedontheprinciplesofequality,voluntariness,andgoodfaith,havereachedanagreementthroughfriendlynegotiationsonmatterspertainingtothe承包oftheengineeringprojectandherebyconcludethisContract.2.DescriptionoftheEngineeringProject2.1ProjectName:2.2ProjectLocation:2.3ScopeofWork:2.4ScaleoftheProject:2.5QualityStandards:3.ScopeofContracting3.1PartyBagreestoundertakethedesign,construction,completion,anddefectrepair,etc.,oftheentireorpartoftheprojectinaccordancewiththetermsofthisContract.3.2ThespecificscopeofcontractingisdetailedinAppendixofthisContract,whichisanintegralpartofthisContract.4.TermoftheContract4.1CommencementDate:4.2CompletionDate:4.3ThetermofthisContractshallbefromthedateofcommencementuntilthedateofsuccessfulcompletionandacceptanceoftheproject,totalingdays.4.4IncaseofanydelaysduetoforcemajeureorotherreasonsnotattributabletoPartyB,thecontractperiodshallbeextendedbymutualagreement,specifictermsforextensionaredetailedinArticleofthisContract.5.ContractPriceandPayment5.1TotalContractPrice:RMByuan(inwords)5.2PaymentMethods:FirstPayment:UponsigningofthisContract,PartyAshallpay%ofthetotalcontractpricetoPartyBwithindays.SecondPayment:UponcompletionandwrittenconfirmationbyPartyAofwithindays,PartyAshallpay%ofthetotalcontractpricetoPartyB.ThirdPayment:Withindaysafterthesuccessfulcompletionandacceptanceoftheproject,PartyAshallpay%ofthetotalcontractpricetoPartyB.Retainage:Withindaysaftertheexpirationofthewarrantyperiod,PartyAshallpaytheremainingamounttoPartyB.5.3PartyBshallprovideinvoicesincompliancewithrequirements,andPartyAshallpaytheinvoiceswithintheagreedtimeframe.6.RightsandObligationsofBothParties6.1DutiesandObligationsofPartyA6.1.1Timelypaymentofthecontractprice,withoutanyunwarranteddelays.6.1.2ProvidingPartyBwithrelevantmaterialsandapprovaldocumentsrequiredforconstruction.6.1.3SupervisingtheprogressandqualityofPartyB'sworkandpromptlyinformingPartyBofanyissuesforrectification.6.1.4Timelyorganizingthefinalacceptanceinspectionandpromptlysigningoffontheacceptancedocuments.6.2DutiesandObligationsofPartyB6.2.1Completingthecontractedscopeofworkinatimelymannerandensuringthequalityoftheprojectmeetstheagreedstandards.6.2.2Strictlycomplyingwithnationalandlocallawsandregulations,ensuringconstructionsafety,andmanagingtheconstructionsiteeffectively.6.2.3Properlyhandlingconstructionwaste,noise,andotherbyproductsduringconstructiontominimizeenvironmentalimpact.6.2.4Beingresponsiblefordefectrepairswithinthewarrantyperiod,providingfreerepairsfordefectswithinthewarrantyperiod.7.QualityandAcceptanceoftheProject7.1ThequalityoftheprojectshallcomplywithnationalandlocalstandardsandthequalityrequirementsspecifiedinthisContract.7.2Uponcompletionof隱蔽部分(hiddenworks)oftheproject,PartyBshallnotifyPartyAtoinspectandaccept,andPartyAshallinspectandsignoffwithinhoursofreceivingthenotice.7.3Thefinalacceptanceinspectionshallbeconductedjointlybybothparties,andtheacceptancecriteriaaredetailedinAppendixofthisContract.7.4Intheeventthattheprojectfailstomeettheacceptancestandards,PartyBshallrectifyinaccordancewithPartyA'srequirementsandbearallrelatedcosts.Uponsuccessfulrectification,theacceptanceinspectionshallbere-conducted.8.LiabilityforBreachofContract8.1LiabilityofPartyA8.1.1IntheeventofabreachofcontractbyPartyA,suchasfailuretotimelypaythecontractprice,PartyAshallpayapenaltyof%oftheoverdueamountperday.8.1.2PartyAshallbearcorrespondingresponsibilitiesifincompleteorincorrectdataorapprovaldocumentsprovidedbyPartyAresultinprojectdelays.8.2LiabilityofPartyB8.2.1IntheeventofabreachofcontractbyPartyB,suchasfailuretocompletetheprojectwithinthecontractedtimeframe,PartyBshallpayapenaltyof%ofthetotalcontractpriceperday.8.2.2Intheeventthattheprojectfailstomeettherequiredqualitystandards,PartyBshallredotheworkatitsownexpense,andthescheduleshallnotbeextended.8.2.3PartyBshallbearfullresponsibilityforanysafetyaccidentsoccurringduringconstructionandcompensatePartyAforanyresultinglosses.9.DisputeResolution9.1AnydisputesarisingfromorrelatedtothisContractshallberesolvedthroughfriendlynegotiationsbythetwoparties.9.2Ifnegotiationsfail,eitherpartymaybringthemattertothePeople'sCourtatthelocationofthe工程(project)forlitigation.10.M
