WHEREAS,theAgentdesirestoactasthePrincipal'sagentinaccordancewiththetermsandconditionssetforthherein.

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thePrincipalandtheAgentherebyagreeasfollows:

1.ScopeofAgency

TheAgentshallactasthePrincipal'sexclusiveagentforthemarketingandsaleof[Principal'sProducts/Services]withintheterritoryof[Territory]duringthetermofthisAgreement.

2.TermandTermination

ThetermofthisAgreementshallcommenceon[StartDate]andshallcontinueforaperiodof[DurationofAgreement]unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

EitherpartymayterminatethisAgreementupon[NoticePeriod]priorwrittennoticetotheotherparty.UponterminationofthisAgreement,theAgentshallimmediatelyceaseallactivitiesrelatedtothemarketingandsaleof[Principal'sProducts/Services].

3.Compensation

TheAgentshallbeentitledtoreceiveacommissionof[CommissionPercentage]onallsalesof[Principal'sProducts/Services]resultingfromtheAgent'seffortsunderthisAgreement.

4.ObligationsofthePrincipal

ThePrincipalshall:

a.ProvidetheAgentwithallnecessaryinformationandmaterialstoenabletheAgenttoperformitsdutiesunderthisAgreement;

b.Maintainaccurateandup-to-daterecordsofsalesandotherrelevantinformation;

c.PromptlypaytheAgentthecommissionsdueunderthisAgreement;

d.ProvidetheAgentwithreasonablesupportandassistanceintheperformanceofitsdutiesunderthisAgreement.

5.ObligationsoftheAgent

TheAgentshall:

a.Useitsbesteffortstomarketandsell[Principal'sProducts/Services]withintheterritoryof[Territory];

b.Complywithallapplicablelaws,regulations,andindustrystandards;

c.MaintaintheconfidentialityofanyconfidentialinformationprovidedbythePrincipal;

d.NotengageinanyactivitiesthatmayharmthereputationofthePrincipaloritsproducts/services.

6.IntellectualProperty

Allintellectualpropertyrightsassociatedwith[Principal'sProducts/Services]shallremaintheexclusivepropertyofthePrincipal.TheAgentshallnotacquireanyownershipinterestinsuchintellectualpropertyrights.

7.Indemnification

ThePrincipalshallindemnifyandholdharmlesstheAgentagainstanyandallclaims,liabilities,damages,losses,andexpensesarisingoutoforinconnectionwiththeAgent'sperformanceofitsdutiesunderthisAgreement.

8.GoverningLawandDisputeResolution

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughbindingarbitrationinaccordancewiththerulesof[ArbitrationInstitution].

9.Miscellaneous

b.NoamendmentormodificationofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.

5.Principal'sRightsandObligations

e.TomaintainexclusiverightstoanyintellectualpropertydevelopedasaresultofthisAgreement.

6.Agent'sRightsandObligations

TheAgentshallhavethefollowingrightsandobligations:

a.Touseitsbesteffortstomarketandsell[Principal'sProducts/Services];

b.Tocomplywithallapplicablelaws,regulations,andindustrystandards;

c.TomaintaintheconfidentialityofanyconfidentialinformationprovidedbythePrincipal;

d.TopromptlyremitcommissionsduetothePrincipal.

7.ThirdParty'sRightsandObligations

TheThirdPartyshallhavethefollowingrightsandobligations:

a.Toprovide[ThirdParty'sServices]inaprofessionalandtimelymanner;

b.ToprotecttheconfidentialityofanyconfidentialinformationprovidedbythePrincipal;

c.TocooperatewiththePrincipalandtheAgentinthedevelopmentandimplementationofmarketingstrategies;

d.Toprovidemonthlyreportsontheprogressandoutcomesofitsservices.

10.GoverningLawandDisputeResolution

11.Miscellaneous
