SupplyContractAgreement

ThisSupplyContractAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween[Supplier'sname],a[Supplier'slegalentitytype]organizedandexistingunderthelawsof[Supplier'sjurisdiction](the"Supplier"),and[Purchaser'sname],a[Purchaser'slegalentitytype]organizedandexistingunderthelawsof[Purchaser'sjurisdiction](the"Purchaser").

I.ScopeofSupply

1.TheSuppliershallsupplytothePurchaserthefollowinggoods(the"Goods")inaccordancewiththetermsandconditionsofthisAgreement:

-DescriptionofGoods:[Detaileddescriptionofthegoods,includingspecifications,models,etc.]

-Quantity:[Quantityofeachtypeofgoods]

-DeliverySchedule:[Specificdeliverydatesortimeintervalsforeachbatchofgoods]

II.PriceandPayment

1.Price

-ThetotalpricefortheGoodsshallbe[totalamount]in[currency].Thispriceincludesallcostsrelatedtotheproduction,packaging,transportation,insurance,andanyapplicabletaxesoftheGoods.

-Anypriceadjustmentsshallbemadeonlywiththewrittenconsentofbothpartiesandshallbebasedonobjectivefactorssuchassignificantchangesinrawmaterialprices,exchangerates,orapplicablelawsandregulations.

2.PaymentTerms

-ThePurchasershallpaytheSupplierinthefollowingmanner:

-[Percentage]ofthetotalpriceasadepositwithin[numberofdays]daysafterthesigningofthisAgreement.

-Theremaining[percentage]ofthetotalpriceshallbepaidwithin[numberofdays]daysafterthereceiptandinspectionoftheGoodsandupontheSupplierprovidingthefollowingdocuments:

-Acommercialinvoiceinduplicate.

-Apackinglistinduplicate.

-AcertificateofqualityissuedbyanindependentinspectionagencyacceptabletothePurchaser.

III.QualityandInspection

1.QualityStandards

-TheGoodsshallmeetthefollowingqualitystandards:[Specifytheinternational,national,orindustrystandards,orthespecifictechnicalrequirementsagreeduponbybothparties].

-TheSuppliershallberesponsibleforensuringthattheGoodsarefreefromanydefectsindesign,material,andworkmanship.

2.Inspection

-ThePurchasershallhavetherighttoinspecttheGoodseitherattheSupplier'spremisesbeforeshipmentoruponreceiptatthedestination.

-IftheGoodsdonotmeettheagreedqualitystandards,thePurchasershallhavetherighttorejecttheGoodsorrequesttheSuppliertoreplacethedefectiveGoodswithinareasonabletimeperiodattheSupplier'sexpense.

IV.Delivery

1.DeliveryPlace

-TheSuppliershalldelivertheGoodstothefollowingaddress:[DeliveryaddressofthePurchaser].

2.DeliveryMethod

-TheSuppliershallberesponsibleforarrangingandpayingforthetransportationoftheGoodstothedeliveryplace.TheGoodsshallbedeliveredby[specifictransportationmethod,e.g.,seafreight,airfreight].

3.RiskTransfer

-TheriskoflossordamagetotheGoodsshalltransferfromtheSuppliertothePurchaserupondeliveryoftheGoodsatthedeliveryplace.

V.IntellectualPropertyRights

1.TheSupplierwarrantsthattheGoodssuppliedhereunderdonotinfringeuponanyintellectualpropertyrightsofanythirdparty.Intheeventofanyclaimofinfringement,theSuppliershallberesponsiblefordefendingagainstsuchclaimandindemnifyingthePurchaserforanylosses,damages,costs,andexpensesarisingtherefrom.

VI.Confidentiality

1.EachpartyshallkeepconfidentialallinformationobtainedfromtheotherpartyinconnectionwiththisAgreement,includingbutnotlimitedtoproductspecifications,businessplans,customerinformation,andpricingdetails.ThisconfidentialityobligationshallsurvivetheterminationofthisAgreementfor[numberofyears].

VII.LiabilityforBreachofContract

1.IfeitherpartyfailstoperformanyofitsobligationsunderthisAgreement,suchpartyshallbeliableforbreachofcontractandshallindemnifytheotherpartyforalllosses,damages,costs,andexpensesdirectlyorindirectlyresultingtherefrom.

2.Intheeventofforcemajeure,theaffectedpartyshallbeexcusedfromperformanceofitsobligationsunderthisAgreementtotheextentthatsuchperformanceispreventedordelayedbyforcemajeureevents,providedthattheaffectedpartygivespromptnoticetotheotherpartyandtakesallreasonablemeasurestominimizetheimpactofsuchevents.

VIII.Termination

1.ThisAgreementmaybeterminatedbyeitherpartyuponwrittennoticetotheotherpartyintheeventofamaterialbreachofthisAgreementbytheotherpartyandsuchbreachremainsuncuredwithin[numberofdays]daysafterreceiptofwrittennotice.

2.UponterminationofthisAgreement,bothpartiesshallcooperatetocompleteanyunfinishedtransactionsandreturnanypropertyordocumentsintheirpossessionrelatedtothisAgreement.

IX.GoverningLawandDisputeResolution

1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Governingjurisdiction].

2.AnydisputesarisingoutoforinconnectionwiththisAgreementshallbefirstresolvedthroughfriendlynegotiationsbetweentheparties.Ifthenegotiationsfail,eitherpartymaysubmitthedisputeto[Arbitrationinstitutionorcourt]forresolution.
