3.DeliveryandAcceptance

(b)PartyBshallinspectandacceptthegoodsupondelivery.Ifanydiscrepanciesordefectsarefoundduringtheinspection,PartyBshallnotifyPartyAinwritingwithin[NumberofDays]daysafterthedelivery.

(c)IfPartyBfailstoacceptthegoodswithintheagreedperiod,PartyAshallhavetherighttostorethegoodsatPartyB'sexpenseandliability.

4.QualityGuarantee

PartyAwarrantsthatthegoodsshallcomplywiththespecificationsandqualitystandardssetforthintheSchedule.Ifanydefectsornon-conformitiesarefoundwithin[NumberofDays]daysafterdelivery,PartyAshallberesponsiblefortherepair,replacement,orrefundofthegoodsatitsownexpense.

5.IntellectualPropertyRights

Allintellectualpropertyrightsassociatedwiththegoods,includingbutnotlimitedtopatents,trademarks,andcopyrights,shallremainthepropertyofPartyA.PartyBshallnotuse,copy,orreproducethegoodswithoutthepriorwrittenconsentofPartyA.

6.Confidentiality

ThepartiesagreetokeepconfidentialallinformationanddataobtainedduringtheperformanceofthisContract.Neitherpartyshalldisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.

7.ForceMajeure

NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetocausesbeyonditsreasonablecontrol,includingbutnotlimitedtonaturaldisasters,wars,strikes,governmentactions,orotherunforeseeableevents.

8.GoverningLawandDisputeResolution

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].AnydisputesarisingfromorinconnectionwiththisContractshallberesolvedthroughfriendlynegotiations.Ifthepartiesfailtoreachanamicablesettlementwithin[NumberofDays]days,thedisputeshallbesubmittedtothecompetentcourtof[Jurisdiction]forarbitration.

9.EntireAgreement

3.RightsandObligationsofPartyA

(b)PartyAshallhavetherighttoterminatethisContractifPartyBfailstocomplywiththeagreed-upontermsandconditions,includingthedeliveryofdefectiveornon-conforminggoods.
