1.PartyArepresentsandwarrantsthatitisalegalentitydulyorganized,validlyexisting,andingoodstandingunderthelawsofthejurisdictioninwhichitisorganized,withfullpowerandauthoritytoenterintothisContractandperformitsobligationshereunder.

2.PartyBrepresentsandwarrantsthatitisalegalentitydulyorganized,validlyexisting,andingoodstandingunderthelawsofthejurisdictioninwhichitisorganized,withfullpowerandauthoritytoenterintothisContractandperformitsobligationshereunder.

3.PartyAandPartyBeachrepresentandwarrantthattheyhavethenecessaryauthoritytoexecutethisContractandthattheexecutionofthisContractbythemwillnotviolateanyotheragreements,covenants,orobligationstowhichtheyareapartyorbywhichtheyarebound.

OBLIGATIONS:

1.PartyAshallprovidetoPartyB,andPartyBshallaccept,thefollowingservices(collectively,the"Services")attheagreedupontermsandconditions:

a.Provide[DescriptionofServices];

b.Ensuretheavailabilityof[SpecificFacilitiesorEquipment];

c.Provide[DescriptionofAdditionalServicesorSupport].

2.PartyBshallpaytoPartyAthefollowingfees(collectively,the"Fees")fortheServicesprovidedunderthisContract:

a.Amonthlyfeeof[Amount]fortheprovisionoftheServices;

b.Anyadditionalfeesfortheuseofspecificfacilitiesorequipment;

c.Anyotherfeesasagreeduponbythepartiesinwriting.

TERMANDTERMINATION:

1.ThisContractshallcommenceontheeffectivedate(hereinafterreferredtoasthe"EffectiveDate")andshallcontinueforaperiodof[NumberofYears]years(hereinafterreferredtoasthe"InitialTerm").UpontheexpirationoftheInitialTerm,thisContractshallautomaticallyrenewforsuccessiveone-yearterms(each,a"RenewalTerm")unlesseitherpartyprovideswrittennoticeofitsintentionnottorenewatleast[NumberofDays]dayspriortotheexpirationoftheInitialTermoranyRenewalTerm.

2.EitherpartymayterminatethisContractforanyreasonuponwrittennoticetotheotherparty,providedthatsuchnoticeisgivenatleast[NumberofDays]dayspriortotheeffectivedateoftermination.

3.IntheeventofterminationorexpirationofthisContract,thepartiesshallpromptlyandfullydischargeallobligationsunderthisContract.

CONFIDENTIALITY:

1.Thepartiesagreetomaintaintheconfidentialityofallinformation,includingbutnotlimitedtotradesecrets,technicalinformation,financialinformation,andotherproprietaryinformation("ConfidentialInformation")disclosedtothembytheotherpartyduringthetermofthisContractandforaperiodof[NumberofYears]yearsfollowingtheterminationorexpirationofthisContract.

2.ThepartiesagreenottouseordiscloseanyConfidentialInformationforanypurposeotherthantheperformanceoftheirobligationsunderthisContract.

INDEMNIFICATION:

1.PartyAshallindemnify,defend,andholdharmlessPartyB,itsofficers,directors,employees,agents,andassigns,fromandagainstanyandallclaims,actions,suits,demands,liabilities,costs,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithPartyA'sbreachofthisContractortheperformanceofitsobligationshereunder.

2.PartyBshallindemnify,defend,andholdharmlessPartyA,itsofficers,directors,employees,agents,andassigns,fromandagainstanyandallclaims,actions,suits,demands,liabilities,costs,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithPartyB'sbreachofthisContractortheperformanceofitsobligationshereunder.

DISPUTERESOLUTION:

1.Anydispute,controversy,orclaimarisingoutoforinconnectionwiththisContract,orthebreach,termination,orinvaliditythereof,shallbesubmittedtobindingarbitrationinaccordancewiththerulesofthe[NameofArbitrationAssociation].

2.Thearbitrationshallbeconductedin[City/Country]andthedecisionofthearbitratorshallbefinalandbindingupontheparties.

OBLIGATIONSANDRESPONSIBILITIESOFPARTYB:

3.PartyBshallcomplywithallrelevantlawsandregulationsintheperformanceofitsobligationsunderthisContract.

RIGHTSANDOBLIGATIONSOFTHIRDPARTY:

1.ThirdPartyshallperformtheSpecializedServiceswithduecareandskill,inaccordancewiththeagreed-uponstandardsandspecifications.

2.ThirdPartyshallmaintainconfidentialityofallinformationreceivedfromPartyAandPartyB,exceptasrequiredbylaworasotherwiseagreeduponinwritingbytheparties.

LIABILITYANDINDEMNIFICATION:

1.PartyBshallindemnify,defend,andholdharmlessPartyAandThirdPartyagainstanyclaimsarisingoutoforinconnectionwithPartyB'sbreachofthisContractortheperformanceofitsobligationshereunder.

TERMINATION:

2.ThirdPartymayterminatethisContractuponwrittennoticetoPartyAandPartyBifPartyBfailstomakepaymentsasagreedupon.
