2025版英文供應(yīng)商合同**SUPPLIERAGREEMENT****THISSUPPLIERAGREEMENT(the"Agreement")ismadeandenteredintoasof(the"EffectiveDate"),byandbetween("Supplier"),and("Buyer").**1.INTRODUCTIONThepartiesheretoagreetoestablishamutuallybeneficialbusinessrelationship,governedbythetermsandconditionssetforthinthisAgreement.ThisAgreementoutlinestherightsandobligationsofbothSupplierandBuyerinconnectionwiththesupplyofgoodsand/orservices(the"Products"or"Services").Theterms"Supplier"and"Buyer"shallbeconstruedaspluralwherethecontextsorequires.2.DEFINITIONSForthepurposesofthisAgreement,thefollowingtermsshallhavethemeaningssetforthbelow:"Goods"shallmeanthetangibleproductssuppliedbytheSuppliertotheBuyerunderthisAgreement."Services"shallmeantheintangibleservicesprovidedbytheSuppliertotheBuyerunderthisAgreement."PaymentTerms"shallmeanthespecificpaymentconditionsoutlinedinSection5ofthisAgreement."TerminationNotice"shallmeanthewrittennoticeprovidedbyeitherpartyinaccordancewithSection7."ConfidentialInformation"shallmeananynon-public,proprietaryinformationdisclosedbyeitherpartytotheotherinconnectionwiththisAgreement,includingbutnotlimitedtobusinessstrategies,technicaldata,customerlists,andfinancialdetails.3.SCOPEOFSUPPLY3.1SupplyObligationsTheSupplieragreestosupplytheBuyerwiththeProductsasdetailedintheattachedExhibitA(the"ExhibitA"),includingbutnotlimitedtothequantities,specifications,andtimelinesoutlinedtherein.TheSuppliershalluseitsbesteffortstoensurethattheProductsmeetallapplicablestandardsandregulations.3.2ModificationsAnychangestothetermsandconditionssetforthinthisAgreementorinExhibitAmustbeagreeduponinwritingbybothparties.SuchwrittenagreementshallbesignedbyauthorizedrepresentativesofboththeSupplierandtheBuyer.3.3ForceMajeureIntheeventthateitherpartyispreventedfromfulfillingtheirobligationsunderthisAgreementduetocircumstancesbeyondtheirreasonablecontrol(includingbutnotlimitedtonaturaldisasters,war,orgovernmentalactions),theaffectedpartyshallpromptlynotifytheotherinwritingandmakereasonableeffortstomitigatetheeffectsofsuchevents.4.DELIVERYANDQUALITY4.1DeliveryTimelinesTheSuppliershalldelivertheProductstotheBuyer’sdesignatedlocationasspecifiedinExhibitA.Deliverytimesshallbestrictlyadheredto,andanydelaysshallbecommunicatedtotheBuyerinadvance.4.2QualityStandardsTheSupplierwarrantsthatallProductsdeliveredunderthisAgreementshallcomplywiththequalitystandardssetforthinExhibitAandanyotherapplicablestandardsorspecificationsagreeduponinwriting.Intheeventofabreachofthiswarranty,theBuyershallnotifytheSupplierinwritingwithindaysofreceipt,andtheSuppliershallremedythedefectatitsownexpensewithindays.4.3ReturnandReplacementIftheProductsfailtomeettheagreed-uponstandards,theBuyermay,withindaysofdelivery,requestareplacementorafullrefund.TheSuppliershallberesponsibleforanycostsincurredinreplacingdefectivegoods.5.PAYMENTTERMS5.1InvoicesandPaymentTheSuppliershallissueinvoicestotheBuyerinaccordancewiththetermsoutlinedinExhibitA.TheBuyershallpayallinvoiceswithindaysofreceipt,unlessotherwiseagreedinwriting.5.2LatePaymentChargesTheBuyershallpayalatefeeof%permonthonanyoverdueamount,calculatedfromthedatetheinvoicewasdue.ThislatepaymentchargeshallnotprejudicetheSupplier’srighttoterminatethisAgreementortoseekfurtherremedies.5.3PaymentMethodAllpaymentsshallbemadeviabanktransfertotheSupplier’sdesignatedaccount,asspecifiedinExhibitA.TheSupplierisresponsibleforensuringthattheaccountdetailsremainaccurateandup-to-date.6.INTELLECTUALPROPERTY6.1OwnershipofIntellectualPropertyAllintellectualpropertyrights,includingbutnotlimitedtopatents,trademarks,copyrights,anddesigns,shallremainwiththeSupplierunlessotherwiseagreedinwriting.TheBuyershallnotuse,copy,ordistributeanymaterialsordesignsprovidedbytheSupplierwithoutpriorwrittenconsent.6.2ConfidentialityBothpartiesagreetomaintaintheconfidentialityofallinformationexchangedunderthisAgreement.Neitherpartyshalldisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheother,exceptasrequiredbylaw.6.3AssignmentNeitherpartyshallassignortransferanyoftheirrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheotherparty.7.TERMINATION7.1TerminationforCauseEitherpartymayterminatethisAgreementwithimmediateeffectiftheotherpartybreachesanyofitsmaterialobligationsunderthisAgreementandfailstocuresuchbreachwithindaysofreceivingwrittennotice.7.2TerminationNoticeEitherpartymayterminatethisAgreementupondays’writtennoticeiftheotherpartyisunabletofulfillitsobligationsforacontinuousperiodofdays.7.3EffectsofTerminationUpontermination,alloutstandinginvoicesshallbepaidwithindays.Thepartiesshallcooperatetominimizeanydisruptiontoongoingbusinessoperations.8.GOVERNINGLAWThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof.AnydisputesarisingoutoforrelatedtothisAgreementshallberesolvedinthecourtsof.9.ENTIREAGREEMENTThisAgreementconstitutestheentireunderstandingbetweenthepartiesandsupersedesallprioragreements,representations,orunderstandings,whetheroralorwritten.AnyamendmentstothisAgreementmustbemadeinwritingandsignedbybothparties.10.SIGNATURESINWITNESSWHEREOF,thepartiesheretohaveexecutedthisAgreementthrought
