TerminationAgreementThisTerminationAgreement(the"Agreement")ismadeandenteredintoasof[date](the"EffectiveDate")byandbetween:PartyA:Name:[PartyA'sfullname]Address:[PartyA'saddress]ContactPerson:[Name]ContactNumber:[Phonenumber]Email:[Emailaddress]PartyB:Name:[PartyB'sfullname]Address:[PartyB'saddress]ContactPerson:[Name]ContactNumber:[Phonenumber]Email:[Emailaddress]RecitalsWHEREAS,PartyAandPartyBenteredintoa[Contractname](the"OriginalContract")on[dateoforiginalcontract];WHEREAS,bothpartiesnowdesiretoterminatetheOriginalContractuponthetermsandconditionssetforthherein.TerminationoftheOriginalContract1.TheOriginalContractshallbeterminatedandshallceasetobeofanyforceandeffectasoftheEffectiveDate.2.Eachpartyherebyreleasesandforeverdischargestheotherparty,itsaffiliates,officers,directors,employees,agents,andrepresentativesfromallclaims,liabilities,obligations,andcausesofactionarisingoutoforinanywayrelatedtotheOriginalContract,whetherknownorunknown,arisingpriortotheEffectiveDate.ObligationsAfterTermination1.ReturnofProperty:Eachpartyshallreturntotheotherpartyanyandallproperty,documents,materials,andinformationbelongingtotheotherpartythatareinitspossessionorcontrolasaresultoftheOriginalContractwithin[numberofdays]daysaftertheEffectiveDate.2.Confidentiality:TheconfidentialityobligationsofthepartiesundertheOriginalContractshallsurvivetheterminationofthisAgreementandremaininfullforceandeffectforaperiodof[numberofyears]yearsfromtheEffectiveDate.PaymentandSettlement1.AsoftheEffectiveDate,eachpartyshallpaytotheotherpartyanyoutstandingamountsdueandpayableundertheOriginalContract.2.Afterthesettlementofalloutstandingamounts,neitherpartyshallhaveanyfurtherfinancialobligationtotheotherpartyinconnectionwiththeOriginalContract.RepresentationsandWarrantiesEachpartyrepresentsandwarrantstotheotherpartythat:1.IthasthelegalrightandauthoritytoenterintothisAgreementandtoperformitsobligationshereunder.2.TheexecutionanddeliveryofthisAgreementandtheperformanceofitsobligationshereunderdonotandwillnotviolateanylaw,regulation,oranyagreementtowhichitisapartyorbywhichitisbound.GoverningLawThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.AmendmentsandWaiversNoamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.SeverabilityIfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallnotinanywaybeaffectedorimpaired.INWITNESSWHEREOF,thepartieshaveexecutedthisTerminationAgreeme
