3、 review opinions,the Buyers ought to offer SGS,CCIC or the inspection certificate issued by an inspection authority entrusted by both sides,which should be the final inspection opinion. *the Sellers shall not be liable for failure or delay in delivery of the entire lot or a portion of the goods unde

4、r this Sales Confirmation due to any Force Major incidents,such as natural disasters,changes on social policy or exchange rate of currency or human wars,etc. *The Buyers is requested to sign and return one copy of this sales Confirmation immediately after receipt of the same .Objection,if any,should

5、 be raised by the Buyers within five days after receipt of this Sales Confirmation in the absence of which it is understood that the Buyers has accepted the terms and condition of the Sales confirmation. *Arbitration:All disputes arising from the execution of,or in connection with this contract,shal

6、l be settled amicably through friendly negotiations.In case no settlement can be reached through negotiation,the case shall then be submitted to Chinese related authorities (CCPIT) which is agreed on by both parties .The arbitration award is final and binding upon both parties. *Stated by twist, sho

7、uld any risks arise which are caused by logos for package or documents offered by the buyers, the buyers shall take all responsibilities and the costs incurred. *On FOB term with shipment by break bulk vessel,if the vessel fails to be available at seller' s port within the required date to a

Claim 索賠: 6.1 If any claims regarding merchandise shipped should be filed within 60 days upon the arrival ofgoods at Port of destination. 若有任何有關此批裝船貨物的索賠發(fā)生,請于貨物運抵目的港 60日以內(nèi)提出。 6.2 產(chǎn)品到達目的地,因生產(chǎn)質(zhì)量問題無法使用的,由賣方承擔損失。 7Arbitration 仲裁: Any disputes arising from the execution of, or in connection w

15、ith this contract shall be settled amicably through friendly negotiations between both parties. In case no settlement can be reached within 21 days through negotiation, the case shall be submitted to the Foreign Trade Arbitration Commission of the China Council for the Promotional International Trad

16、e, for arbitration, in accordance with its provision rule of procedure. The arbitral award shall be accepted as final and binding upon both parties. TRANSFER PRICE AND DEPOSIT, OPTION OF PAYMENT 甲乙雙方明確,該房地產(chǎn)的轉(zhuǎn)讓總價款:人民幣大寫_元(其中含車位轉(zhuǎn)讓款人民幣_元)。乙方于簽署本協(xié)議時,支付誠意金人民幣_ 元至中介方,并委托中介方與甲方洽談;若甲方接受交易條件并簽署本協(xié)議,則乙方委托中介方將誠意金轉(zhuǎn)交給甲方作為款項。若至_ _年_月_日,甲方仍未簽署本協(xié)議的,則乙方有權至中介方處無息取回誠意金;若乙方未按時取回誠意金,則視為繼續(xù)委托中介方與甲方洽談。本協(xié)議簽訂當日乙方直接向甲方支付款項人民幣_元。 甲方同意在本合同簽訂后 日內(nèi),乙方向甲方支付款項人民幣元,該款項由乙方或

35、ll the transfer formalities before the trading center of that district where this real estate is located. 4) 房屋交付:甲方于收到乙方全部轉(zhuǎn)讓款項當日,將該房地產(chǎn)交付乙方,雙方應簽署房屋交接書。交付前的物業(yè)管理費及公用事業(yè)費由甲方承擔,交付后的物業(yè)管理費及公用事業(yè)費由乙方承擔。固定裝修、附屬設施設備以及經(jīng)甲乙雙方確認的家電、家具等價格已經(jīng)包含在該房地產(chǎn)轉(zhuǎn)讓總價款內(nèi),甲方須保證該房屋內(nèi)附屬設施、設備均能正常使用及室內(nèi)裝飾與簽訂買賣合同之日的狀況相符。 4)Delivery. At the

36、date on which all transfer prices,party A shall deliver this real estate to Party B and the Certificate of Transfer and Handover shall be concluded by the Parties therefore. Property Management Fees and Utilities Expenses arising out of or in connection with this real estate shall be borne by Party

37、A prior to such delivery, or shall be borne by Party B upon such delivery. Charges or expenses related to the fixtures and ancillary equipments & facilities of this real estate, as well as the prices of home appliances and furniture agreed by the Parties, have been included in the transfer p

38、rice and Party A guarantee that all such ancillary equipments & facilities may work properly, all interior decorations thereof satisfy the conditions provided herein . 5)相關費用:Miscellaneous Charge. 交易稅費:雙方同意,交易中所涉及的上述買賣雙方的稅費由 各自承擔并支付;由甲方承擔并支付;由乙方承擔并支付。 公證費:若交易涉及買賣合同公證,費用由雙方分擔并支付;由甲方承擔并支付;由乙方承
