8、10. SHIPMEN：TThe Sellers shall ship the goods within the shipment time from the port of shipment to the destination. Transshipment is allowed. Partial shipment is not allowed.運(yùn)輸：賣方應(yīng)于交貨期內(nèi)將合同貨物從裝貨港運(yùn)到目的港，不許分批，允許轉(zhuǎn)運(yùn)。11. SHIPPING ADVIC：EThe sellersshall, immediatelyupon the completionofthe loading ofthe g

9、oods,advise byfaxthebuyers oftheContractNo. ,commodity,quantity,invoicedvalue, grossweight, name of vessel and date of delivery etc. In case due to the sellersnot having faxed in time,all losses causedshall be borne by the sellers.裝運(yùn)通知：賣方應(yīng)于裝貨后，立即用傳真將有關(guān)合同號(hào)、 貨物、數(shù)量、發(fā)票價(jià)值、毛重、運(yùn)輸工具名稱、交貨日期、 貨 物預(yù)計(jì)抵達(dá)日等資料通知買方。

10、如果由于賣方未能通知買方而造成的所有損失均由賣方承擔(dān)。12. GUARANTEE OF QUAL：ITYThe Sellers guarantee that the Commodity hereof is madeof the best materials with first class workmanship, brand new and unused, and complies in all respects with the quality and specification stipulated in this Contract.質(zhì)量保證：賣方保證合同貨物采用最好的材料、精湛的 做

CLAIMS：Damages occur in the course of operation by reason ofinferior quality, bad workmanship or the use of inferior materials, the Buyers shall immediately notify the Sellers in writing and put forward a claim supported by Inspection Certificate issued by the State Adm

12、inistration for EntryExit Inspection and Quarantine of . The Certificate so issued shall be accepted as the base of a claim. The Sellers, in accordance with the Buyers' claim shall be responsible for the immediate elimination of the defect(s), complete or partial replacement of the commodity or

13、shall devaluate the commodity according to the state of defect(s) ,. If theSellers fail to answer theBuyers within one month after receipt of the aforesaid claim, the claim shall be reckonedas having been accepted by theSellers.索賠：由于貨物內(nèi)在的質(zhì)量、差的做工、選材不當(dāng)而造 成 操作中的貨物損壞，買方應(yīng)立即書面通知賣方，并同時(shí)隨 附中 國商檢局出具的檢驗(yàn)報(bào)告作為索賠依

14、據(jù)。賣方在接到買 方的索 賠后，有責(zé)任立即解決相應(yīng)的質(zhì)量問題、全部或部分 地替換貨 物或根據(jù)貨物損壞的程度進(jìn)行折價(jià)；如果賣方在 收到買方的上 述索賠后一個(gè)月內(nèi)未能作出答復(fù)，則視為索賠 已為賣方所接受。14. FORCE MAJEU：REThe Sellers shall not be held responsible for the delayin shipment or non-delivery of the goods due to ForceMajeure, whichmightoccurduring the processofmanufacturing orin thecourseof

15、 loading or transit.TheSellers shalladvisetheBuyers immediately oftheoccurrence mentionedaboveand within fourteendaysthereafter, the Sellers shall send by airmail to the Buyers for their acceptance a certificate of the accident issued by the Competent Government Authorities where the accident occurs

16、 as evidence thereof. Under such circumstances the Sellers, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods.不可抗力：對(duì)于制造或裝船運(yùn)輸過程中可能產(chǎn)生的不可 抗 力而造成的退交貨或不能交貨，賣方可以不承擔(dān)責(zé)任。賣 方應(yīng) 立即在不可抗力產(chǎn)生的十四日內(nèi)將有關(guān)情況通知買方， 并且賣 方應(yīng)用航空郵件將有關(guān)政府當(dāng)局部門出具的證明不 可抗力產(chǎn)生 的文件寄送給買方。在此情況下，賣方仍應(yīng)

17、盡最大努力采取各種措施促使貨物的發(fā)運(yùn)。15. LATE DELIVERY AND PENAL：TYShould the Sellers fail to make delivery on time as stipulated in the Contract, with exception of Force Majeure causes specified in Clause 15 of this Contract. The Buyers shall agree to postpone the delivery on condition that the Sellers agree to pay

18、a penalty which shall be deducted by the paying bank from the payment. The Penalty, however, shall not exceed 5% of the total value of the goods involved in the late delivery. The rate of penalty is charged at % for every seven days. Odd days less than seven days should be counted as seven days. In

19、case the Sellers fail to make delivery ten weeks later than the time of shipment stipulated in the Contract, the Buyers shall have the right to cancel the contract and the Sellers, in spite the cancellation, shall still pay the aforesaid penalty to the Buyers without delay.退交貨和罰金：如果賣方未能按合同規(guī)定及時(shí)交貨（除 了

20、 本合同 15 條款所言的不可抗力），買方同意在賣方付罰金 的前 提下退交貨。罰金的金額不超過退交貨的合同貨物部分 的價(jià)值 的 5%,罰金按每 7 日計(jì)算，少于 7 日的增加天數(shù)按 7 日計(jì)。如 果賣方未能于合同規(guī)定的交貨期之后的十周內(nèi)發(fā) 運(yùn)，買方有權(quán) 取消該合同，除此之外，賣方仍要將有關(guān)罰金不加拖延地付給買方。16. TERMINATION OF CONTR：ACTTerminate contract by through negotiation by both sides.Sellers should give back mould that have paid, The transport costs of give back mould, to be covered by buyers.合同終止：經(jīng)雙方協(xié)商終止合同的。賣方應(yīng)將買方已付 費(fèi) 的模具全部歸還買方，歸還模具產(chǎn)生的運(yùn)輸費(fèi)用，由買方支付17.
