4.IntellectualPropertyRights
4.1PartyAshallretainallrights,title,andinterestinandtoanyintellectualpropertyrightsassociatedwiththegoodsorservicessuppliedunderthisContract.
4.2PartyBshallnot,withoutthepriorwrittenconsentofPartyA,use,copy,modify,ordiscloseanyintellectualpropertyrightsassociatedwiththegoodsorservicessuppliedunderthisContract.
5.Confidentiality
5.1Thepartiesagreetokeepconfidentialanyandallinformationdisclosedtothembytheotherparty,includingbutnotlimitedtotechnical,commercial,andfinancialinformation.
5.2TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisContract.
6.GoverningLawandDisputeResolution
6.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
6.2AnydisputearisingoutoforinconnectionwiththisContractshallberesolvedthrough[DisputeResolutionMechanism,e.g.,arbitration,litigation].
7.ForceMajeure
