ThisAdditionalAgreementismadeandenteredintoasof[date]byandbetween[PartyAname],a[PartyAentitytype]organizedandexistingunderthelawsof[PartyAjurisdiction](hereinafterreferredtoas"PartyA"),and[PartyBname],a[PartyBentitytype]organizedandexistingunderthelawsof[PartyBjurisdiction](hereinafterreferredtoas"PartyB").

WHEREAS,PartyAandPartyBhaveenteredintoa[Maincontractname](the"MainContract")dated[Maincontractdate];

WHEREAS,thepartiesdesiretomakecertainadditionalprovisionsandmodificationstotheMainContractassetforthherein;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesheretoagreeasfollows:

1.AmendmentstotheMainContract

-[Anotherarticlenumber]oftheMainContractisherebydeletedinitsentirety.

2.NewProvisions

3.Payment

-PartyBshallpaytoPartyAanadditionalamountof[Amount]within[Numberofdays]daysaftertheexecutionofthisAdditionalAgreement.Thispaymentisinconsiderationof[Reasonforadditionalpayment].

4.Confidentiality

-TheconfidentialityprovisionsoftheMainContractshallapplymutatismutandistoanyinformationexchangedinconnectionwiththisAdditionalAgreement.Eachpartyshallmaintaintheconfidentialityofallconfidentialinformationreceivedfromtheotherpartyandshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingparty.

5.GoverningLaw

-ThisAdditionalAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Governinglawjurisdiction].

6.EntireAgreement

-ThisAdditionalAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

7.Severability

-IfanyprovisionofthisAdditionalAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallnotinanywayinanywaybeaffectedorimpaired.

8.AmendmentsandWaivers

-Noamendment,modification,orwaiverofanyprovisionofthisAdditionalAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.

9.Counterparts

-ThisAdditionalAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.

INWITNESSWHEREOF,thepartieshaveexecutedthisAdditionalAgreementasofthedatefirstabovewritten.
