2025年以合同書形式訂立的合同港口雜費英文版CONTRACTAGREEMENTONPORTDEFERREDCHARGESEFFECTIVEDATE:[Year/Month/Day]ThisContractAgreementonPortDeferredCharges(hereinafterreferredtoasthe"Agreement"or"Contract")isenteredintoonthisdayof[Month],2025,byandbetweenthefollowingparties:PARTIES:[PortAuthorityName](hereinafterreferredtoasthe"PortAuthority"),locatedat[Address],representedby[Name],[Title],andhavingabusinessidentificationnumberof[Number].[CargoHandlingCompanyName](hereinafterreferredtoasthe"Carrier"),locatedat[Address],representedby[Name],[Title],andincorporatedunder[Jurisdiction].RECITALS:ThePortAuthorityoperatesandmanagestheportfacilitiesat[PortName],andtheCarrierisengagedinthebusinessofhandling,loading,andunloadingcargowithinthesaidport.WHEREAS,thePortAuthorityisauthorizedtolevycertainfeesandchargesforservicesrenderedwithintheportfacilities,includingbutnotlimitedto裝卸,storage,andhandlingcharges(hereinafterreferredtoasthe"PortCharges").ANDWHEREAS,theCarrieragreestoutilizetheportfacilitiesandservicesofthePortAuthorityandtosettleallapplicablePortChargesinaccordancewiththetermsandconditionsoutlinedherein.NOW,THEREFORE,thepartiesheretoagreeasfollows:1.SCOPEOFSERVICESANDRESPONSIBILITIES1.1ServicesProvidedbythePortAuthority:ThePortAuthorityshallprovidethefollowingservicestotheCarrier:Berthallocationandassignment.-裝卸operationcoordination.Storagefacilitiesforcargopendingclearance.-提供必要的基礎設施和服務以確保貨物的順利裝卸和運輸。1.2ResponsibilitiesoftheCarrier:TheCarriershallensurethefollowing:Timelysubmissionofallrequireddocumentation,includingbutnotlimitedtoshippingmanifests,billsoflading,andcommercialinvoices.Compliancewithallportregulationsandsafetystandards.Properhandlingandprotectionofgoodsduring裝卸andstorage.1.3AdditionalTerms:AnyadditionalservicesorfacilitiesrequestedbytheCarrierbeyondthestandardscopeshallbesubjecttoseparateagreementandadditionalcharges,whichshallbeclearlyoutlinedina補充協(xié)議oramendmenttothisContract.2.PORTCHARGESANDPAYMENTTERMS2.1DefinitionofPortCharges:PortChargesshallinclude,butarenotlimitedto,thefollowing:Berthingcharges.-裝卸fees.Storagechargesforcargoheldattheport.-所有其他與港口操作相關的費用，具體收費標準詳見附件A。2.2ChargesCalculationandPaymentSchedule:PortChargesshallbecalculatedbasedontheratestructureoutlinedin附件A,whichissubjecttoreviewandadjustmentbythePortAuthorityatitssolediscretion,providedthatsuchadjustmentsarecommunicatedtotheCarrierinwritingatleast[Number]dayspriortotheeffectivedateofthechange.TheCarriershallpayallapplicablePortChargeswithin[Number]daysofreceivingtheinvoice,unlessotherwiseagreedinwriting.2.3LatePaymentPenalties:Ifpaymentisnotmadewithinthestipulatedperiod,theCarriershallbesubjecttoalatepaymentpenaltyof[Percentage]%permonthontheoutstandingamount,orthemaximumrateallowedbyapplicablelaw,whicheverislower.3.WARRANTIESANDINDEMNITIES3.1WarrantybytheCarrier:TheCarrierwarrantsthatallcargohandledbyitattheportislegallyownedorauthorizedbytherightfulownertobetransported,andthatallnecessarypermitsandclearanceshavebeensecured.3.2IndemnitybythePortAuthority:ThePortAuthorityshallindemnifyandholdharmlesstheCarrieragainstanyclaims,damages,orlossesarisingdirectlyfromthePortAuthority'sfailuretoprovideservicesinaccordancewiththetermsofthisContract,providedthatsuchclaimsaremadewithin[Number]daysoftheincidentandaresupportedbyappropriatedocumentation.3.3ExclusionsandLimitations:Neitherpartyshallbeliableforanyindirect,incidental,orconsequentialdamagesarisingoutofthisContract,unlesssuchdamagesresultfromabreachofafundamentaltermhereinorareattributabletogrossnegligenceorwilfulmisconduct.4.TERMINATIONANDAMENDMENT4.1TerminationClause:EitherpartymayterminatethisContractwith[Number]days'writtennoticeiftheotherpartybreachesanymaterialtermhereinandfailstocurethebreachwithin[Number]daysofreceivingnotice.4.2AmendmentClause:AnyamendmentstothisContractmustbemadeinwritingandsignedbybothparties.Nooralorinformalamendmentsshallbeconsideredvalid.5.DISPUTERESOLUTION5.1NegotiationandMediation:IntheeventofanydisputearisingoutoforrelatedtothisContract,bothpartiesshallfirstattempttoresolvethematterthrough友好協(xié)商.If協(xié)商fails,thepartiesagreetosubmitthemattertomediationconductedinaccordancewiththerulesof[MediationInstitutionName].5.2Arbitration:Ifthemediationfailstoresolvethedisputewithin[Number]days,eitherpartymayreferthemattertoarbitrationin[Location],inaccordancewiththerulesof[ArbitrationInstitutionName].ThearbitrationshallbeconductedintheEnglishlanguage,andthedecisionofthearbitratorsshallbefinalandbindingonbothparties.6.MISCELLANEOUS6.1GoverningLaw:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction],withoutregardtoitsconflictoflawsprinciples.6.2EntireAgreement:ThisContractconstitutestheentireagreementbetweenthepartiesregardingthesubjectmatterhereofandsupersedesallprioragreements,representations,orunderstandings,whetheroralorwritten.6.3Counterparts:ThisContractmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.6.4Notices:Allnotices,requests,demands,orothercommunicationsrequiredorpermittedunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonally,sentbyregisteredorcertifiedmail,returnreceiptrequested,orsentbyovernightcourierwithconfirmeddeliverytotherespectiveaddressessetforthabove.6.5ForceMajeure:Neitherpartyshallbeliableforanyfailureordelayinperformanceduetoeventsbeyonditsreasonablecontrol,includingbutnotlimitedtonaturaldisasters,actsofwar,governmentactions,orpandemics.Upontheoccurre
