2025商務(wù)英語(yǔ)合同談判中的常用口語(yǔ)ContractAgreementContractNo.:DateofSigning:PlaceofSigning:ThisContractisenteredintoonthisdayof,2025,byandbetween:PartyA:NameofParty:Address:ContactInformation:PartyB:NameofParty:Address:ContactInformation:WHEREAS,PartyAandPartyBwishtoestablishamutuallybeneficialbusinessrelationshipbasedontheprinciplesoffairness,integrity,andmutualrespect;NOW,THEREFORE,thepartiesheretoagreeasfollows:1.ScopeoftheContractThepurposeofthisContractistodefinethetermsandconditionsunderwhichPartyAandPartyBwillcollaborateon.Thescopeofwork,responsibilities,anddeliverablesshallbeoutlinedindetailinthe附件sattachedhereto.2.RightsandObligationsofPartyAPartyAshall:(a)Provideinaccordancewiththeagreedtimelinesandstandards.(b)Ensurecompliancewithallapplicablelaws,regulations,andindustrystandards.(c)MaintainconfidentialityregardinganyinformationsharedbyPartyB.(d)promptlynotifyPartyBofanychangesinthatmayaffecttheperformanceofthisContract.3.RightsandObligationsofPartyBPartyBshall:(a)Provideasrequiredtofacilitatethesuccessfulexecutionoftheproject.(b)Ensuretimelypaymentofagreedfeesorcompensationinaccordancewiththepaymenttermsoutlinedherein.(c)DeliverallrequiredmaterialsandresourcestoPartyAasspecifiedinthe附件s.(d)CooperatewithPartyAinallmattersrelatedtotheproject.4.PaymentTerms4.1Fees:PartyBshallpayPartyAthesumof()ascompensationfortheservicestoberenderedunderthisContract.4.2PaymentSchedule:Paymentsshallbemadeinaccordancewiththefollowingschedule:Firstpayment:%ofthetotalamountuponsigningofthisContract.Secondpayment:%ofthetotalamountuponcompletionof.Finalpayment:Theremaining%uponfullsatisfactionofthedeliverables.4.3Currency:AllpaymentsunderthisContractshallbemadein.4.4LatePaymentFees:IntheeventthatPartyBfailstomakeanypaymentwithindaysoftheduedate,PartyAshallbeentitledtochargealatepaymentfeeof%permonthontheoutstandingamount.5.Confidentiality5.1ConfidentialInformation:BothpartiesagreetomaintaintheconfidentialityofanyinformationexchangedduringthecourseofthisContract.Suchinformationshallinclude,butisnotlimitedto,businessstrategies,financialdata,technicaldetails,andanyotherinformationmarkedasconfidential.5.2UseofInformation:ConfidentialinformationshallonlybeusedforthepurposeoffulfillingtheobligationsunderthisContractandshallnotbedisclosedtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingparty.5.3Termination:UponterminationofthisContract,bothpartiesshallpromptlyreturnordestroyallconfidentialmaterialsandshallceaseanyuseofconfidentialinformation.6.IntellectualProperty6.1Ownership:Allintellectualpropertyrights,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets,shallremainwiththeoriginalownerunlessotherwisespecifiedinwriting.6.2使用權(quán):PartyAgrantsPartyBanon-exclusive,royalty-freelicensetouseforthepurposeof.6.3Inventions:Anyinventions,designs,orinnovationsdevelopedjointlybybothpartiesduringthetermofthisContractshallbeownedjointlyunlessotherwiseagreedinwriting.7.PerformanceStandards7.1QualityStandards:AlldeliverablesunderthisContractshallmeetthestandardsspecifiedinthe附件sandanyapplicableindustrystandards.7.2TestingandAcceptance:PartyBshallconducttestingandacceptanceofthedeliverablesinaccordancewiththetermsoutlinedinthe附件s.AnydefectsorissuesdiscoveredduringtestingshallbereportedtoPartyAwithindaysofdiscovery.8.TerminationClause8.1MutualTermination:EitherpartymayterminatethisContractwithdayswrittennoticeiftheotherpartybreachesanymaterialtermsofthisContractandfailstocuresuchbreachwithindaysofreceivingwrittennotice.8.2TerminationforConvenience:EitherpartymayterminatethisContractatanytimewithdayswrittennotice,providedthatPartyBshallpayPartyAforanycompletedworkorpartialservicesrendereduptothedateoftermination.9.GoverningLawThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof.AnydisputesarisingoutoforrelatedtothisContractshallberesolvedthrough友好協(xié)商.If協(xié)商fails,themattershallbesubmittedtothejurisdictionofthecourtsof.10.ForceMajeureIntheeventthateitherpartyispreventedfromfulfillingitsobligationsunderthisContractduetoaforcemajeureevent,includingbutnotlimitedtonaturaldisasters,war,orgovernmentactions,theaffectedpartyshallpromptlynotifytheotherpartyinwritingandmakeallreasonableeffortstomitigatetheeffectsoftheforcemajeure.Theobligationsoftheaffectedpartyshallbesuspendedforthedurationoftheforcemajeureevent,andthetimeforperformanceshallbeextendedaccordingly.11.MiscellaneousProvisions11.1EntireAgreement:ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,representations,orunderstandings,whetheroralorwritten.11.2Amendments:AnyamendmentstothisContractshallbeinwritingandsignedbybothparties.11.3Severability:IfanyprovisionofthisContract
