1、合同翻譯（二） 涉外經(jīng)貿(mào)合同的翻譯步驟 因英文合同涉及締約當(dāng)事人的權(quán)利、義務(wù)關(guān)系，其一旦生 效便具有法律約束力，任何違背合同約定的行為，都應(yīng)承 擔(dān)相應(yīng)的責(zé)任。 在翻譯的過(guò)程中，我們必須忠于原文，不得做與原文有出 入的翻譯，若有不慎，就會(huì)帶來(lái)難以預(yù)估的法律責(zé)任。 1、分析 通讀全文并研究其結(jié)構(gòu)，做到全面理解、掌握內(nèi)涵，并從 宏觀上了解合同原文的總體精神和篇章結(jié)構(gòu)。 要充分理解合同文本的第一步就是要對(duì)合同的體裁和種類(lèi) 進(jìn)行分類(lèi)。不同的體裁和種類(lèi)的合同有不同的章法可循。 英文合同種類(lèi)繁多， 只有了解合同種類(lèi)、 吃透條款的內(nèi)涵， 才能保證譯文的質(zhì)量。 2、理解 翻譯前要讀懂原文。合同文件十分枯燥、乏味

2、，句子長(zhǎng)、 術(shù)語(yǔ)多，理解上頗費(fèi)功夫。所以耐心讀懂合同原文至關(guān)重 要。 理解合同文件中的規(guī)約用語(yǔ)。 here: hereafter, hereby, herein, hereof, hereto, hereunder, hereupon, herewith, hereinbefore, hereinafter; there: thereafter, thereby, therein, thereinafter, thereon, thereof. 這些詞匯的共同特點(diǎn)是使文體更具莊重感， 同時(shí)意義確定， 能將復(fù)雜的含義集中到一個(gè)簡(jiǎn)潔的表達(dá)里，在合同文件中 使用這些詞，可以避免重復(fù)、誤解和歧義，使行

3、文莊重嚴(yán) 謹(jǐn)。 理清合同文件中的句子結(jié)構(gòu) 合同類(lèi)法律文件的起草者為了使行文完整嚴(yán)密，不造成曲 解、誤解，往往選擇使用結(jié)構(gòu)復(fù)雜的長(zhǎng)句，句序變化大， 從句的插入手法多，經(jīng)常使用被動(dòng)語(yǔ)態(tài)和否定提前等。 在翻譯時(shí)，一定要理順句子之間的邏輯結(jié)構(gòu)，注意行文的 條理性及嚴(yán)謹(jǐn)性。 3. 表達(dá) 在分析和理解的基礎(chǔ)上， 要用目的語(yǔ)將原文內(nèi)容表達(dá)出來(lái) 譯者對(duì)原文的理解程度、翻譯技巧、翻譯手法和風(fēng)格等都 決定著翻譯的質(zhì)量。 在合同翻譯中絕不能提筆就譯，草率行事。詞語(yǔ)是構(gòu)成合 同文本的基本單位，是翻譯合同文件的基礎(chǔ)。所以選詞是 關(guān)鍵。 4. 校正 校正是翻譯活動(dòng)的最后一關(guān)。 在準(zhǔn)確表達(dá)的前提下，力求使譯文的格式和文體符

4、合合同 規(guī)范的要求。 在校正的過(guò)程中要注意的問(wèn)題是細(xì)節(jié)，如合同中的重要條 款、細(xì)節(jié)部分（如合同的標(biāo)的物和關(guān)于貨幣的支付形式） 以及容易被忽略的細(xì)微之處是否有漏譯或錯(cuò)譯等。 商務(wù)合同語(yǔ)篇特色 語(yǔ)體正式、嚴(yán)肅、穩(wěn)重； 措辭嚴(yán)密準(zhǔn)確； 固定行文程式，以符合合同行業(yè)規(guī)范； 多用長(zhǎng)句、被動(dòng)語(yǔ)態(tài)、名詞化結(jié)構(gòu)； 語(yǔ)言特點(diǎn)：主題突出、 指稱(chēng)直接、邏輯性強(qiáng)、限定詳盡、指向明確。 合同詞匯特征 1、專(zhuān)業(yè)詞匯豐富。 2、用語(yǔ)正式規(guī)范 3、使用舊體詞。 4、使用縮略語(yǔ) 1、專(zhuān)業(yè)詞匯豐富。 經(jīng)貿(mào)合同種類(lèi)繁多，涉及貿(mào)易、技術(shù)、法律等學(xué)科。而專(zhuān) 業(yè)詞匯是用來(lái)準(zhǔn)確表達(dá)科學(xué)概念的詞匯，具有豐富的內(nèi)涵 和外延。 為了準(zhǔn)確描述合同

5、雙方的權(quán)利和義務(wù)，合同中往往使用法 律類(lèi)的專(zhuān)業(yè)術(shù)語(yǔ)。 商務(wù)合同種類(lèi) 商品交易（貨物買(mǎi)賣(mài)、設(shè)備進(jìn)出口、包銷(xiāo)、代理、寄售、 易貨、補(bǔ)償貿(mào)易等） 勞務(wù)服務(wù)（工程承包、工程合作、勞務(wù)合作、來(lái)料加工、 承攬、加工裝配等） 科研（技術(shù)開(kāi)發(fā)、 技術(shù)合作、 技術(shù)引進(jìn)與輸出、 技術(shù)轉(zhuǎn)讓、 技術(shù)許可實(shí)施） 投資（合資經(jīng)營(yíng)企業(yè)、合作經(jīng)營(yíng)企業(yè)、合作生產(chǎn)、商標(biāo)使 用許可） 資金融通 （商業(yè)信用貸款、 銀行信用貸款、 補(bǔ)償貿(mào)易貸款、 技術(shù)引進(jìn)貸款、設(shè)備進(jìn)口貸款、工程項(xiàng)目貸款、開(kāi)發(fā)基金 貸款、協(xié)議基金貸款、專(zhuān)項(xiàng)貸款） 其他：保證、保險(xiǎn)、 委托、 租賃、職工勞動(dòng)、培訓(xùn)、 廣告、 仲裁、經(jīng)營(yíng)管理。 2、用語(yǔ)正式規(guī)范 國(guó)際貿(mào)易合

6、同屬于法律文體， 是規(guī)范程度較高的一種文體， 其用語(yǔ)保守，經(jīng)常使用正式程度很高的書(shū)面語(yǔ)言，以體現(xiàn) 合同的正規(guī)、莊重和嚴(yán)肅。 例：要約可以撤回，撤回要約的通知應(yīng)當(dāng)在要約到達(dá)受要 約人之前或者與要約同時(shí)到達(dá)受要約人。 The offer may be withdrawn, if, before or at the same time when an offer arrives, the withdrawal notice reaches the offeree. 例： The Appendix hereto shall, through the contract period, be deemed

7、 to be construed as part of this Contract. 整個(gè)合同期間，本合同的附件應(yīng)被解釋為合同的一部分。 3、使用舊體詞 舊體詞均為副詞， 一般是 here, there, 或 where 與 in, on, after, of 等介詞結(jié)合構(gòu)成復(fù)合詞。 使用舊體詞不僅可以使合同語(yǔ)言更為簡(jiǎn)練、規(guī)范、嚴(yán)肅， 文體更為正式莊重、嚴(yán)謹(jǐn)，而且避免了用詞重復(fù)和文句冗 長(zhǎng)。 4、使用縮略語(yǔ) 國(guó)際貿(mào)易合同中的縮略語(yǔ)主要為首字母縮略詞和簡(jiǎn)短詞， 其中，價(jià)格、支付及包銷(xiāo)方式大多以首字母縮略詞形式出 現(xiàn)。 B/L: bill of lading 提單 CIF: coast, insu
