2、into by and between the two parties in Shanghai, thepeoples republic of China鑒于甲方?jīng)Q定聘用乙方為其常年法律顧問，甲乙雙方經(jīng)友好、充分之協(xié)商，就聘請合 約的條款及內(nèi)容達(dá)成如下協(xié)議：Whereas Party A decides to retain Party B as its long-term legal counsel, the parties agreedthe following terms and conditions after friendly and thorough negotiation.第一條

3、聘用與期間Article 1 Retaining and service period1.1甲方聘請乙方作為常年法律顧問,聘用期間為壹年，從2016年1月1日至2016年12月31日;Party A retains Party B as its long-term legal counsel, the service period is one year, from 1January 2016 to 31 December 2016.1.2乙方指定 作為主要聯(lián)系人，負(fù)責(zé)跟進(jìn)和處理甲方法律顧問事宜。Party B assigns lawyer as major coor dinators, th

4、ey will be responsible for following lawconsulting affairs of Party A.第二條 服務(wù)內(nèi)容及費(fèi)用Article 2 Service content and service fees2.1本合約期(一年)的法律顧問費(fèi)共人民幣萬元整，包括如下內(nèi)容：The legal counseling price of the agreement (One year) is RMB Yuan, the service content isas follows:a)法律咨詢：解答法律疑問，提供法律建議，出具法律意見;Legal consult: A

5、nswer legal questions, give legal suggestions, and give legal opinions.b)合同審查：起草審閱合同，提出修改意見，規(guī)范合同管理;Review contract: draft and review contract, give amending suggestions, standardize contractmanagement.c)參與決策：參與客戶決策，提供法律依據(jù)，防范法律風(fēng)險(xiǎn);Participate decision: participate decision of the client, provide legal

6、 basis, and keep away legalrisks.d)發(fā)函交涉：發(fā)出律師信函，代表甲方交涉，催促相關(guān)事宜;Give letter to communicate: give lawyers letter, represent the client to deal with,press related issues.e)公開聲明：受權(quán)發(fā)表聲明，陳述甲方立場，澄清事實(shí)真相;Public declaration: publish authorized declaration, states the opinion of Party A, clarify thefacts.f)內(nèi)部培訓(xùn)：

7、修改規(guī)章制度，舉辦法律講座，培訓(xùn)客戶員工;Internal training: modify rules and policies, hold legal seminars, and give training to employeesof the client.g)其它約定. Any other business agreed by both parties.2.2下列事務(wù)，甲方委托乙方辦理的，須另付律師費(fèi)第四條 保密義務(wù)Article 4 Confidentiality obligationsa) If Party A consigns Party B to deal with the f

8、ollowing affairs, Party A will pay additionalattorney fee to Party B:Party A has lawsuit or arbitration need to entrust Party B to on behalf of party A on court,including the first instance infringement or defense, second instance infringement or defense,Retrial appeal or defend. Domestic arbitratio

9、n or international arbitration, appeal executing ofsentence or arbitration, promote execution dispute. Apply national compensation etc,2.3以上乙方收取的法律服務(wù)費(fèi)用不包括由法院或其他行政、事業(yè)機(jī)構(gòu)收取的官方費(fèi)用， 如訴訟費(fèi)、查檔費(fèi)、公證費(fèi)等以及乙方為處理甲方事務(wù)去外地出差的差旅、住宿費(fèi)等。The above service fees charged by party B does not include fees charged by courts or o

10、therpublic authorities(filing fee, notary fee, fee of consulting archives etc.)and transportationand lodging costs incurred when party B needs to deal with affaires of party A outside ofShanghai.第三條 服務(wù)方式Article 3 service method3.1甲方獲得或者乙方提供法律服務(wù)的方式或途徑包括：3.1 The ways and methods Party A got legal serv

11、ice from Party B:a)電話咨詢; Phone consultation;b)面見商談; Interview;c)書面意見; Written comments;d)參與談判; Participate in negotiation;e)出庭訴訟; Appear in court to litigate;f)庭外協(xié)調(diào); out of court settlement;g)代為交涉; Represent to deal with;h)其它方式。Other methods.4.1任何一方在履行本合約過程中所獲得的與另一方有關(guān)的任何信息，包括但不限 于合同、資料、專業(yè)意見或其它商業(yè)秘密，非

12、經(jīng)授權(quán)或同意，不得以任何方式向第三 方及雙方各自無關(guān)人員傳遞泄露;Unless authorized or agreed on by both parties, neither party shall disclose to any third Partyor irrespective persons in either party any information about the other party including but notlimited to contract, document, professional suggestions or other business sec

13、rets obtainedduring the execution of the agreements.4.2前項(xiàng)所列保密義務(wù)不因本合約的終止、解除、變更或廢止而免除。The above mentioned confidentiality obligation will not be waived after the termination,cancellation, amend or revoke of the agreement.第五條 責(zé)任擔(dān)保Article 5 Warranties5.1甲方保證，其向乙方提供的文件、資料及事實(shí)真實(shí)、完整與全面，力免誤導(dǎo)與 失實(shí);Party A warr

14、ants that, all files, documents, affairs are complete and in accordance with the fact,should avoid misleading or inconsistent with the fact.5.2乙方保證，其向甲方提供的專業(yè)意見合法、準(zhǔn)確。Party B warrants that, the professional suggestions provided by party B is legal and correct.第六條 付款A(yù)rticle 6 Payment甲方于本合約簽訂后3日內(nèi)支付 元法律顧

15、問費(fèi)給乙方。乙方的收款賬戶為：Party A shall pay the legal counseling fee of Yuan to Party B within 3 days after the agreementsigned by both parties. The bank account of party B is:第七條 合約的終止Article 7 Termination of the agreement7.1本合約期屆滿，則本合約終止。若一方?jīng)Q定續(xù)簽合約，應(yīng)在合約到期前一個(gè)月通知 對方。The agreement will terminate on expiration. I
