國際名湖協(xié)會章程(草案)International Famous Lakes Association prospectus(draft)前 言2002年8月 日，來自 湖、 湖、 湖（以下簡稱“ 個發(fā)起者”）的代表在中華人民共和國（以下簡稱“中國”）四川省鹽源城市召開大會，認為深化合作意義重大，并同意為此成立“國際名湖協(xié)會”，以開展更廣泛更深入的合作與交流。PERFACEOn Aug 2002, The representatives from lake, lake (abbreviated as initiatives below) held conference in Gongqingcheng,Jiangxi province, the peoples republic of China(abbreviated as China below), claimed that its significant to deepen cooperation and agreed to set up International Famous Lakes Association to achieve more widely and in-depth cooperation and exchanges.第1章 總則 Chapter 1 general provision第1條 名稱與所在地本組織的名稱為“國際名湖協(xié)會”（以下簡稱“協(xié)會”）(英文名稱為Association for the World Famous Lakes,縮寫為AIFL)。協(xié)會總部注冊地為中國鹽源城市，且為協(xié)會總部永久所在地。協(xié)會遵守本章程和中國法律。Article 1.Name and locationThe name of this organization is Association for the World Famous Lakes(abbreviated as Association below and AIFL)(the Chinese name is 國際名湖協(xié)會)The headquarter registration place of the AIFL is the city of Gongqingcheng of China and its the permanent site for the AIFL headquarter 第二條 性質(zhì)協(xié)會為非政府、非營利、松散型、聯(lián)誼型的國際性民間友好組織。Article 2.Nature AIFL is a non-governmental, non-profit, loose and friendly international civility-friendly organization.第三條 宗旨通過舉辦多種形式的活動，促進國際名湖（世界濕地公園）之間的交流、協(xié)調(diào)與合作，就生態(tài)環(huán)境保護、旅游資源開發(fā)、發(fā)展生態(tài)經(jīng)濟、人湖和諧等共同面臨和關心的問題構建對話交流平臺，為會員與會員之間、會員與非會員之間的環(huán)境、生態(tài)、旅游、文化等領域的合作交流提供服務，并在世界范圍內(nèi)發(fā)揮影響力。Article 3.PurposeFacilitate exchanges,conciliation and cooperation among international famous lakes( world wetland parks) by holding activities of all kinds, establish dialogue and exchanges platforms for issues we face and of common concern, such as ecological environment protection, tourism resources development,ecological economy development,harmony between human and lakes,provide services for cooperation and exchanges in areas of environment, ecology,tourism and culture between members, and between members and non-members, exert influence worldwide.第四條 任務1、通過召開年會、研討會等形式，探討國際名湖（世界濕地公園）保護管理、旅游發(fā)展、文化教育、科學普及等領域的重要問題； 2、提出地區(qū)性或全球性的倡議； 3、跟蹤影響全球和地區(qū)湖泊發(fā)展的動向； 4、探討可能影響湖泊生態(tài)保護和旅游發(fā)展的各種問題；5、搜集和發(fā)布相關信息，尋求合作機會；Article 4.tasks 1.Discuss important issues in areas of protection and management, tourism development,cultural education,scientific popularization of international famous lakes(world wetland parks) by holding annual conference and symposium.2.put forward regional or global initiatives.3.track latest information concerning the global and regional lakes development.4.discussion all kinds of issues which may influence the ecological protection and tourism development of lakes.5.search and publish concerning information and seek opportunities for cooperation. 6、創(chuàng)建具有國際影響力的研究及培訓中心，為各國際名湖（世界濕地公園）提供先進的管理經(jīng)驗和技術；7、開展有助于實現(xiàn)協(xié)會宗旨的旅游商品展覽、項目開發(fā)、濕地保護、信息交流、旅游評估、教育培訓等各類活動；6.establish research and training center of international influence to provide advanced management experience and technology for international famous lakes(world wetland parks)7. Launch all kinds of activities such as tourism commodity exhibition, program development, wetland protection,information exchange, tourism assessment, education and training to fulfill the purpose of AIFL.第二章 會員第五條 會員類別任何遵守協(xié)會章程，尊崇協(xié)會宗旨的國際名湖（世界濕地公園）均可加入本協(xié)會。協(xié)會由發(fā)起會員、正式會員和榮譽會員(僅享有發(fā)言權)組成。發(fā)起會員系指 個國際名湖協(xié)會發(fā)起者。正式會員系指申請加入?yún)f(xié)會并已被批準的國際名湖（世界濕地公園）。榮譽會員系指為協(xié)會的創(chuàng)建和發(fā)展做出重要和實質(zhì)性貢獻的企業(yè)或組織。 Chapter 2 memberArticle 5.Member categoryAny international famous lakes(world wetland parks) abiding by the prospectus and identifying with the purpose of AIFL can join AIFL.AIFL is consist of sponsor member, formal member and honor member(merely having the right to speak)第六條 加入程序 1、接納新的正式會員必須由其提出書面申請，經(jīng)理事會審核，提請會員大會表決通過；2、會員大會可任命榮譽會員。Article 6.join procedure 1. New members absorption must put forward written application,and then be reviewed by council and voted through in assembly.2. General assembly can nominate honor member.第七條 會員資格終止1、自愿放棄會員資格。會員在一年內(nèi)不繳納會費或不參加本會活動，視為自動退會。自愿退出的會員須至少6個月前通知協(xié)會；2、 會員違背了協(xié)會章程或利益，經(jīng)會員大會表決通過予以除名。Article 7. The terminal of member qualification 1. voluntarily waive membership.The member who dont pay membership fee or dont participate activities in one year will be regarded as voluntary backout. Members backout should inform the AIFL in advance at least 6 months.2. Members who violate the prospectus or interests of AIFL will be excommunicated after voting in assembly.第八條 會員權利 1、在協(xié)會的會議上，參與制定協(xié)會的政策和工作計劃； 2、享受協(xié)會所有相應的服務、信息和幫助； 3、享有對協(xié)會年會及其它活動議題的建議權，委托協(xié)會就其所關心的問題舉辦專題研討會；4、享有會員大會的發(fā)言權、表決權，并提名應選理事會的候選人。Article 8. The rights of members1. participate and formulate the policies and working projects of AIFL in assembly.2. Receive all the corresponding services, information and assistance from AIFL 3. Have the right of proposal for annual conference and other activities and commission AIFL to hold symposium to solve the problems of its concern.4. Have the right to speak, vote and be nominated to be elected candidate of council.第九條 會員義務1、遵守協(xié)會章程、規(guī)則及決議；2、維護本會合法權益；3、完成本會交辦的工作；4、按規(guī)定交納會費；5、向本會反映情況，提供資料與信息。Article 9 members obligation1. abide prospectus, regulations and resolutions of AIFL.2. safeguard the legitimate rights and interests of AIFL. 3. Finish works assigned by AIFL. 4. Pay fees by regulation.5. Provide material and information to report to the AIFL.第三章 機構Chapter 3 institution第十條 構成1、本協(xié)會由會員大會、理事會、理事長、執(zhí)行秘書四部分構成； 2、理事由舉辦者（包括出資者）、會員組成，由會員大會推選產(chǎn)生；3、理事會成員為325人；理事一屆任期4年，任期屆滿，連選可以連任。Article 10 construction1. AIFL is consist of four parts of member assembly, council, general director, executive secretary.2. Council is consist of by sponsors(including patrons),elected by assembly.3. The number of the council is 325.Each term of a director shall be 4 years, and a director may continue to serve his post at the expiration of his term if he is re-elected. 第十一條 會員大會1、會員大會為協(xié)會的最高權力機構，由會員組織指定的4年一屆的代表組成；2、會員大會每年舉行一次，有權根據(jù)四分之一以上會員的提議，召開會員大會特別會議；Article 11. General assembly1. The general assembly is the supreme power institution, consist of 4-year-term representatives organized and designated by members.2. The general assembly is held every year and extraordinary general assembly shall be held according to proposal of more than one quarter of all members. 3、所有發(fā)起會員、正式會員均享有一個代表權和一票表決權；4、會員大會決議由參加大會的全體會員簡單多數(shù)通過；5、會員大會主席由理事長擔任。如果理事長不能出席，應委托一位理事代替其行使職責。3. All sponsor member and formal member has one representative right and one vote.4. General assembly resolution shall be voted through by all attended members with simple majority.5. The chairman of general assembly is posted by the general director. If the general director cannot attend, commission one director replacing him to play his duty.第十二條 會員大會的權力1、審議通過協(xié)會章程或章程修改案； 2、選舉理事會理事，根據(jù)理事會的建議，確認理事長和執(zhí)行秘書的任命或罷免；3、制定協(xié)會年度工作計劃，通過年度工作報告和年度預算。Article 12. The right of general assembly1. Review and pass prospectus and amendment to prospectus.2. Elect director of council, confirm the appointment and sack of general director and executive secretary.3. Stipulate annual working project of AIFL, pass annual working report and annual budget.第十三條 理事會1、理事會由若干名理事組成，同一國家的會員組織最多在理事會占有2個席位，理事長不受上述名額限制；2、理事長、發(fā)起會員及執(zhí)行秘書為理事會當然理事，其余理事在非發(fā)起會員的正式會員中產(chǎn)生；Article 13 council 1. The council is consist of several directors, members from one country occupy at most 2 seats, but the general director dont have such numerical limitation. 2. The general director, sponsor member and executive secretary are ex-officio director of the council, and the rest shall be elected from formal members among non-sponsor members. 3、理事長由當年的會員大會舉辦地推薦，經(jīng)理事會批準任命，任期一年；4、理事會每年舉行一次會議，原則上與會員大會同期舉行。理事會還可根據(jù)三分之二以上理事的提議或理事長的決定臨時召開。3. The general director is recommended by annual assembly, approved by general assembly and its term is one year.4. The council hold one conference every year, in principal simultaneous with general assembly.The council meeting can be temporarily held according to two thirds of directors proposal or the general directors decision.第十四條 理事會的權力1、組織會員大會并為之準備議程； 2、修改章程； 3、業(yè)務活動計劃； 4、年度財務預算、決算方案； 5、增加開辦資金的方案；6、本單位的分立、合并或終止；Article 14. The power of council1. Organize and prepare agenda for general assembly.2. Revise prospectus.3. Business activity plan4. Annual financial budget,final accounts plan.5. Increase plan of opening capital.6. Division, merger and termination of this body. 7、罷免、增補理事； 8、內(nèi)部機構的設置； 9、制定內(nèi)部管理制度；10、會員大會授權的其它職責。7. Recall, supplement directors.8. Institution of internal bodies.9. formulate internal management system.10. Other responsibilities authorized by general assembly.第十五條 理事長的職責1、主持理事會會議和會員大會；2、監(jiān)督有助于實現(xiàn)協(xié)會宗旨、促進協(xié)會利益的中、長期計劃和項目的制定；3、經(jīng)理事會授權，可代表協(xié)會簽署相關的往來文書和函件；4、向會員大會報告理事會的工作；5、行使理事會賦予的其它職責。Article 15 the duties of general director1. preside the meeting of council and general assembly.2. Supervise formulation of long, mid-term plan and program serving the interests of AIFL and achievement of its purpose.3. After being authorized by the council, sign related documents correspondence on behalf of AIFL.4. Report the councils work to the general assembly.5. Other duties authorized by the council.第十六條 執(zhí)行秘書執(zhí)行秘書是協(xié)會的首席執(zhí)行官，對理事會負責，同時負責領導、組建和管理執(zhí)行秘書處。執(zhí)行秘書任期4年，由協(xié)會總部所在地中國鹽源城市推薦候選人，經(jīng)理事會批準任命。Article 17 executive secretary Executive secretary is the CEO of AIFL, responsible for the council and in charge of leadership, organization and management of the executive secretaries. The term of executive secretary is 4 years. Gongqingcheng of China, the site of headquarter of AIFL, recommend the candidates, and the council approval the appointment.執(zhí)行秘書應進行下列工作：1、負責協(xié)會所有會議的籌備；2、執(zhí)行會員大會和理事會的決議；3、準備協(xié)會年度工作報告和年度預算，提交理事會審議；Executive secretary should do works below,1. responsible for preparation for all the conferences of AIFL.2. Implement resolutions of general assembly and the council.3. Prepare annual work report and annual budget of AIFL, submit to the council for consideration. 4、負責協(xié)會資金籌措和運作；5、負責起草或修改協(xié)會的規(guī)章制度，并報理事會批準；6、負責會員入會、退會、日常聯(lián)絡等相關服務；7、負責理事會委托的其它事務；8、協(xié)助理事長履行其職責。4. Responsible for fund raising and running.5. Responsible for drafting and amending rules and regulations, and submit them for councils approval.6. Responsible for services such as joint and withdrawal, daily contact.7. Responsible for other matters trusted by the council.8. Assist the general director to fulfill duties.第四章 財務Chapter 4 Finance第十七條 協(xié)會經(jīng)費來源1、發(fā)展基金。中國鄱陽湖在協(xié)會成立第一年度提供3050萬美元，發(fā)起成立發(fā)展基金，此后每年度提供20萬美元，作為基金的運作費用。各會員按自愿原則捐贈；2、會員費；3、參會費；4、捐款；5、在協(xié)會業(yè)務范圍內(nèi)開展活動或服務的收入；6、協(xié)會資金的利息；7、政府資助；8、其它合法收入。Article 17 source of funds 1. development funds.Poyang lake of China offer $300 000-500 000 as start-up fund in the first year after the founding of AIFL. Henceforth, Poyang lake offer $200 000 as the running fee for the fund. All members are voluntary to donate in principle.2. Membership fee 3. Attendance fee4. Donation5. Incomes from activities and services in the scope of the business of AIFL6. Interests of the fund of AIFL7. Governmental patron8. Other legal incomes第十八條 經(jīng)費的使用協(xié)會所有的經(jīng)費應用于實現(xiàn)協(xié)會宗旨，且在本章程及其相關細則規(guī)定的范圍內(nèi)使用。第十九條 財務管理遵守相關的會計準則及財務法規(guī)，確保所有會計資料合法、真實和完整。Article 18 fund useAll use of fund should serve to the purpose of AIFL in compliance with this prospectus and concerning regulations.Article 19 financial managementImply with concerning accounting rules and financial regulations to ensure all accounting documents legal, true and integral.第五章 附則Chapter 5 bylaws 第二十條 章程的修改章程修正案應由執(zhí)行秘書提交給理事會審議，并由會員大會批準。第二十一條 協(xié)會解散 協(xié)會解散議案在經(jīng)理事會審議后，提交會員大會決議通過。解散協(xié)會的決議須通知協(xié)會總部所在地注冊機關。協(xié)會在解散之前，應根據(jù)國際慣例
