2025建筑合同常用英語(yǔ)句型ConstructionContract2025ThisConstructionContract(hereinafterreferredtoasthe"Contract")isenteredintoasof[Date](the"EffectiveDate"),byandbetween[ClientName],acompanyincorporatedunderthelawsof[ClientCountry],withitsprincipalplaceofbusinessat[ClientAddress](the"Client"),and[ContractorName],acompanyincorporatedunderthelawsof[ContractorCountry],withitsprincipalplaceofbusinessat[ContractorAddress](the"Contractor").TheClientandtheContractormayindividuallybereferredtoasa"Party"orcollectivelyasthe"Parties."Recitals:WHEREAS,theClientdesirestoengagetheContractortoperformcertainconstructionworks(the"Works")atthesitelocatedat[ProjectSiteAddress],[City],[Country],asfurtherdescribedinExhibitAattachedhereto(the"ProjectSite");ANDWHEREAS,theContractoriswillingandcapableofperformingtheWorksinaccordancewiththetermsandconditionssetforthherein;NOW,THEREFORE,thePartiesagreeasfollows:1.ScopeofWorks1.1TheContractoragreestoperform,andtheClientagreestoaccept,theWorksasdescribedinExhibitA,includingbutnotlimitedtothedesign,materials,specifications,andstandardsoutlinedtherein.TheWorksshallbecarriedoutinaccordancewithapplicablelaws,regulations,andindustrystandards.1.2TheContractorshalluseitsbesteffortstoensurethattheWorksarecompletedinatimelymannerandincompliancewiththetermsandconditionsofthisContract.2.ContractPriceandPaymentTerms2.1ThetotalcontractpricefortheWorks(the"ContractPrice")is[](the"PoundsSterling"or"LocalCurrency"),asdetailedinExhibitB.2.2PaymentshallbemadebytheClienttotheContractorinaccordancewiththepaymentscheduleoutlinedinExhibitC,whichshallbesubjecttoadjustmentbasedontheprogressoftheWorks.2.3TheContractorshallissueinvoicesfortheWorksinaccordancewiththepaymenttermsspecifiedinthisContract.TheClientshallpaysuchinvoiceswithin[]daysofreceipt,providedtheyareaccurateandproperlycertified.3.ProjectTimelineandCompletionDate3.1TheContractorshallensurethattheWorksarecompletedby[CompletionDate],subjecttoanydelayscausedbytheClient,unforeseencircumstances,orForceMajeureevents.3.2TheContractorshallprovidetheClientwithadetailedprojecttimelineandmilestones(the"ProjectSchedule")within[]daysoftheEffectiveDate.TheProjectScheduleshallbesubjecttotheClient'sapproval.4.ResponsibilitiesandObligations4.1Contractor'sResponsibilities:a.TheContractorshallemployqualifiedpersonnel,includingbutnotlimitedtoarchitects,engineers,andlaborers,toperformtheWorks.b.TheContractorshallensurethatallmaterialsandequipmentusedintheWorksareofgoodquality,freefromdefects,andcomplywithapplicablestandards.c.TheContractorshallobtainallnecessarypermits,licenses,andapprovalsfortheWorks,unlessotherwisespecifiedinthisContract.4.2Client'sResponsibilities:a.TheClientshallprovidetheContractorwithallnecessaryinformationandapprovalsrequiredtocommenceandcompletetheWorks.b.TheClientshallpaytheContractPriceasoutlinedinthisContract.c.TheClientshallprovideaccesstotheProjectSiteandensurethattheProjectSiteissecureandsafefortheContractor'spersonnel.5.ChangesandModifications5.1AnychangesormodificationstotheWorks(the"Changes")shallberequestedbytheClientinwriting,specifyingthenatureandextentoftheChanges.TheContractorshallprovideadetailedestimatefortheadditionalcostsandtimerequiredtoimplementtheChanges.5.2IftheContractordeemstheChangestobebeyondtheirscopeorcapability,theyshallpromptlynotifytheClientinwriting,providingdetailedreasonsforsuchdetermination.5.3TheContractPriceandtheProjectSchedulemaybeadjustedbasedontheClient'swrittenapprovaloftheChanges.6.QualityAssuranceandInspection6.1TheContractorshallcontinuouslymonitorthequalityoftheWorksandtakenecessarystepstoensurecompliancewiththespecificationsoutlinedinthisContract.6.2TheClientshallhavetherighttoinspecttheWorksatanystageoftheconstructionprocess,providedsuchinspectionsdonotinterferewiththeprogressoftheWorks.6.3TheContractorshallprovidetheClientwithwrittenreportsdetailingtheprogressandstatusoftheWorks,includingbutnotlimitedtomaterialsused,safetymeasures,andcompliancewithregulations.7.WarrantiesandGuarantees7.1TheContractorwarrantsthattheWorkswillbefreefromdefectsinmaterialsandworkmanshipforaperiodof[]monthsfromthedateofcompletion(the"WarrantyPeriod").TheContractoragreestorepairorreplaceanydefectiveportionoftheWorkswithin[]daysofreceivingwrittennoticefromtheClient.7.2TheContractorfurtherwarrantsthattheWorkswillcomplywithallapplicablelaws,regulations,andstandardsatthetimeofcompletion.8.IntellectualProperty8.1Alldesigns,plans,specifications,andotherintellectualpropertycreatedorprovidedbytheContractorinthecourseofperformingtheWorks(the"IntellectualProperty")shallremainthepropertyoftheContractor.8.2TheClientshallhaveanon-exclusive,royalty-freelicensetousetheIntellectualPropertyforthepurposeoftheWorksandfornootherpurposewithoutthepriorwrittenconsentoftheContractor.9.InsuranceandLiability9.1TheContractorshallmaintainadequateinsurancecoverage,includingbutnotlimitedtogeneralliabilityinsurance,workers'compensationinsurance,andprofessionalliabilityinsurance,withcoveragelimitsofatleast[](the"InsuranceCoverage").TheContractorshallprovidetheClientwithcertificatesofinsuranceandshallpromptlynotifytheClientofanymaterialchangestosuchinsurance.9.2TheContractorshallbeliableforanydamage,injury,orlosscausedbytheContractor'snegligenceorfailuretocomplywithapplicablelaws,regulations,orstandardsduringtheperformanceoftheWorks.10.Confidentiality10.1TheContractoragreestomaintaintheconfidentialityofallinformation,data,andmaterialsprovidedbytheClientinconnectionwiththeWorks(the"ConfidentialInformation").TheContractorshallnotdisclosetheConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentoftheClient.10.2TheobligationsunderthisSection10shallsurvivetheterminationofthisContract.11.ForceMajeure11.1IfeitherPartyispreventedfromperformingitsobligationsunderthisContractduetoeventsbeyonditsreasonablecontrol,includingbutnotlimitedtonaturaldisasters,war,pandemics,andgovernmentalactions,theobligationsoftheaffectedPartyshallbesuspendedforthedurationoftheimpedingevent(the"ForceMajeureEvent").11.2TheaffectedPartyshallpromptlynotifytheotherPartyoftheoccurrenceofaForceMajeureEventandmakereasonableeffortstomitigateitseffects.12.Termination12.1EitherPartymayterminatethisContractwithimmediateeffectupontheoccurrenceofanyofthefollowingevents:a.TheotherPartybreachesanymaterialtermorconditionofthisContractandfailstocuresuchbreachwithin[]daysofwrittennotice;b.TheotherPartybecomesinsolventorfilesforbankruptcy;c.AForceMajeureEventcontinuesforaconsecutiveperiodof[]days,makingitimpracticaltocontinuewiththeWorks.12.2Upontermination,theContractorshallimmediatelyceaseallactivitiesunderthisContractandtakeallnecessarystepstominimizeanyfurtherliabilitiesordamages.13.DisputeResolution13.1AnydisputesarisingoutoforrelatingtothisContractshallberesolvedthroughmutualdiscussions.IfthePartiesfailtoreachanagreementwithin[]days,thedisputeshallbesubmittedtoarbitrationinaccordancewiththerulesof[]ArbitrationInstitution.13.2Thearbitrationshalltakeplacein[],andthejudgmentshallbefinalandbindingonbothParties.14.GoverningLaw14.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[].15.Miscellaneous15.1AnynoticesorcommunicationsrequiredorpermittedunderthisContractshallbeinwritinganddeliveredbyhand,registeredorcertifiedmail,oremail.15.2ThisContractcontainstheentire
