InstallationAssembly,positioning,connectionandotherworkoftheequipmentundertakenbyPartyBaccordingtocontractualstipulations,relevantnational,industrial,localandothertechnicalrequirements,specifications.3.7調(diào)試 Commissioning在合同設(shè)備安裝完畢后乙方為保證合同設(shè)備正常運(yùn)行在甲方及監(jiān)理方監(jiān)督下按照合同約定及國家、行業(yè)、地方等相關(guān)技術(shù)要求、規(guī)范所進(jìn)行的測試和調(diào)整。TestandcommissioningareconductedbyPartyBaccordingtocontractualstipulations,relevantnational,industrial,localandothertechnicalrequirements,specificationsunderthesupervisionofPartyAandthesupervisoraftertheinstallationofthecontractequipmentinordertoensurethequalifiedfunctionalityofcontractequipment.3.8試運(yùn)行 TrialRun在合同設(shè)備調(diào)試后，對設(shè)備進(jìn)行三個月的系統(tǒng)負(fù)荷運(yùn)行。Equipmentneedsoperatewithsystematicalloadforthreemonths,afterthecommissioningofthecontractequipment.3.9驗(yàn)收 Acceptance在經(jīng)初驗(yàn)設(shè)備完成試運(yùn)行后，對設(shè)備質(zhì)量是否符合合同約定及系統(tǒng)整體是否達(dá)到規(guī)劃設(shè)計的功能Evaluationandverificationofsystemperformanceandguaranteedindicatorstoconfirmwhethertheequipmentqualityconformstothecontractualstipulationsandwhethertheentiresystemreachestheplannedanddesignedfunctionsandprocessingcapacityafterthetrialrunofequipmentuponpreliminaryacceptance,thesigningofContractEquipmentAcceptanceFormbybothpartiesshallbetheonlyapprovedsignofqualifiedacceptance.3.10質(zhì)保期 WarrantyPeriod合同設(shè)備正式驗(yàn)收合格并經(jīng)雙方共同簽署驗(yàn)收文件后，乙方為保證合同設(shè)備正常穩(wěn)定使用而提供免費(fèi)維修和零部件及整機(jī)更換服務(wù)的期限。TheperiodduringwhichPartyBwillprovidefreemaintenanceservice,andreplacementofpartsorcompletedmachine,inordertoensurenormalandstableoperationofthecontractedequipmentaftertheformalacceptanceofthecontractedequipment,jointsigningofacceptancedocumentbybothparties.3.11培訓(xùn) Training由乙方為保證甲方達(dá)到合同目的而向甲方相關(guān)人員提供的培訓(xùn)，其范圍包括但不限于合同設(shè)備的安裝、試運(yùn)行、驗(yàn)收測試、操作、維護(hù)維修等。ThetrainingprovidedbyPartyBtorelevantpersonnelofPartyAinordertoensurethatPartyAachievesthepurposeofthecontract,includingbutnotlimitedtotheinstallation,commissioning,acceptancetest,operation,maintenance,etc.ofthecontractedequipment.BasicRequirementsTheconclusion,effectiveness,performance,change,transfer,terminationofrightsandobligations,liabilityforbreachofcontractandothersofthepurchasecontractforautomaticsortingequipmentshallbeinstrictaccordancewiththeContractLawofthePeople’sRepublicofChina,andtherelevantnationallaws,regulations,rulesandothernormativelegaldocumentsinvolvedinthecontract.Thepurchasecontractforautomaticsortingequipmentshallbeconcludedbasedontheprinciplesofequality,voluntariness,honesty,credibilityandconsensus,withsocialmoralityrespected,socialandeconomicordermaintained,socialpublicinterestsprotected.（Thepurchasecontractforautomaticsortingequipmentshallbeinthewrittenformpreferentially,andconcludedintheformofcontract,letteranddatamessage(includingtelegraph,telex,fax,electronicdatainterchangeande-mail)andotherformstangiblyexpressingthecontentscontained,unlessotherwisespecifiedbyspeciallegalprovisions.Thepartiestothepurchasecontractforautomaticsortingequipmentshallestablishacontractanddocumentmanagementsystem,soastoenhancethecontractreview,monitorthecontractimplementation,archiveandkeepthecontractsandrelevantdocuments.ContractcompositionBasicconstitution自動分揀設(shè)備采購合同應(yīng)包括約首部分、主文部分、約尾部分，并應(yīng)包含但不限于以下內(nèi)容：Thepurchasecontractforautomaticsortingequipmentshallconsistofpreamble,maintextandend,andshallincludebutnotlimitedto:Basicinformationofthepartiestothecontract;Description,quantityandqualityrequirementsoftheproduct;Rightsandobligationsoftheparties;Keymilestonesoftheprojectschedule;質(zhì)保；Warranty;Changeordermechanism;Expensesandpaymentmethod;Agreementonforcemajeure;Liabilityforbreachofcontract;Disputesettlementmethod;Effectivenessandterminationofcontract;Signatureandsealoftheparties.Preamble約首部分應(yīng)明確、完整的列出以下信息：Thepreambleshallclearlyandcompletelylistthefollowinginformation:Contractnameandcontractnumber;Informationofthepartiestothecontract,includingbutnotlimitedtoname,contactinformation,etc.;Keytermsanddefinitions,denotationofChineseorforeign-languageabbreviations,etc.whichshallbespecifiedinthecontract;Prefaceorgeneralprovisionsregardingtheintentionofcontractconclusionandtheguaranteeofcontractperformanceinvolvedinthecontract.MainContentBasiccontents自動分揀設(shè)備采購合同的主文部分應(yīng)該包括合同訂立的目的和內(nèi)容，并涵蓋合同從訂立到終止全過程中合同所有當(dāng)事方的權(quán)利和義務(wù)。內(nèi)容應(yīng)包含但不限于以下內(nèi)容：Themaintextofthepurchasecontractforautomaticsortingequipmentshallincludethepurposeandcontentofcontractconclusion,andshallcovertherightsandobligationsofallpartiestothecontractfromtheconclusiontotheterminationofthecontract.Thecontentsshallincludebutnotlimitedto:Subjectmatterofcontract;Description,quantityandqualityoftheproduct;Packingmethod;Deliveryschedule;Inspectionstandardandmethod;Requirementsonsafeandcivilizedconstruction;Projectqualityassuranceandafter-salesservice;Contractpriceandpaymentmethod;Performancetime,locationandmethod;Liabilityforbreachofcontract;Disputesettlementmethod.此外，自動分揀設(shè)備采購合同還可以根據(jù)需要增加例外條款、補(bǔ)充條款、保密條款、合同附件等。Inaddition,exceptionclause,supplementaryclause,confidentialityclause,annextothecontractandotherscanbeaddedinthepurchasecontractforautomaticsortingequipmentasrequired.Productqualityrequirements對于自動分揀設(shè)備的質(zhì)量要求，合同應(yīng)包含但不限于以下內(nèi)容：Thequalityrequirementsoftheautomaticsortingequipmentinthecontractshallincludebutnotlimitedto:KPIThespecifictechnicalinformationshallbeavailable,inadditiontothreemainKPIsoftheequipment,i.e.sortingaccuracy,recognitionrateofbarcodereadingandsortingefficiencyofthecompletemachine,othertechnicalindicatorssuchasmechanicalperformancerequirements,electricalperformancerequirementsandinformationtechnologyperformancerequirementsoftheequipmentcanbereflectedintheannextothecontract.Thetechnicalstandard,installationstandardandacceptancerulesshallbeconfirmedjointlybytheparties,soastoensurethereisnoobjectiontothetechnicalstandard,installationstandardandacceptancerules.Anychangetothespecificindexduringequipmentmanufactureandinstallationshallbeconfirmedjointlybythepartieswithawrittenagreementsigned.Thehandlingmethodofpossibleresultofacceptanceshallbeagreedinadvance,thehandlingagreementshallspecifythedivisionofresponsibilities,expensesandworkscopeforeachpartyinthecaseofdifferentresultsasclearaspossible,andthehandlingagreementcanbeusedincombinationorcooperationwiththedefaultclauseofcontract.Projectqualityandafter-salesservice對于工程質(zhì)量保證及售后服務(wù)，合同應(yīng)包含但不限于以下內(nèi)容：Theprojectqualityassuranceandafter-salesserviceinthecontractshallincludebutnotlimitedto:Thekeymilestonesoftheprojectshallbespecified,suchasthedateofmobilizationandinstallation,thedateofpreliminaryacceptance,thedateoffinalacceptance,etc.;Warrantyperiodoftheprojectandthestartingtimeofwarranty;SpecifytheobligationsofPartyBregardingtheproductqualityassurancewithinthewarrantyperiod,suchasequipmentmaintenance,on-sitewarranty,troubleshootingandtimelimitofmobilizationandsiterepairservicecanbeprovidedinthepeaktimeofoperation.Afterthewarrantyperiodexpires,PartyBshallprovidetechnicalsupport,paidmaintenanceservice,chargestandard,etc.ContractpriceandpaymenttermsThecontractpriceshallcoverallproductsandservices.Anychangeshallbere-agreedintheformoftheamendmenttothecontractwiththewrittenconsentofPartyAandPartyB.Thecontractshallclearlyprovide:Totalcontractprice,orthecalculationmethodoftotalcontractpriceifthetotalcontractpricecannotbegivenclearly;Pricecurrency,chargingunitpriceandrate,etc.;etc.;Taxes,ifany,shallbebornebyPartyB;Thepaymentmethodshallbeconfirmed;ValueaddedtaxinvoiceinlinewiththestipulationsofChineseTaxLawshallbeprovided.LiabilityforbreachofcontractThedefaultclauseshallbeprovidedinthecontracttospecifythedefaultdeterminationandclaimofeachparty.Thedefaultdeterminationincludesthedefinitionofdefault,methodofdefaultdetermination,divisionprincipleofresponsibility,compensationandpaymentagreement,etc.Theclaimincludesthecalculationofclaimamount,claimprocedure,validityofclaim,etc.Forcemajeure為避免不可抗力的發(fā)生影響合同履行而出現(xiàn)糾紛，合同當(dāng)事方宜對不可抗力發(fā)生時責(zé)任的免除條件及處理措施進(jìn)行約定，并納入合同條款。合同中不可抗力條款應(yīng)至少明示以下內(nèi)容：Inordertoavoidthedisputeduetotheinfluenceofforcemajeureoncontractperformance,thepartiestothecontractshallagreeontheliabilityexemptionconditionsandhandlingmeasureswhenforcemajeureoccursandincorporatetheminthecontract.Theforcemajeureclauseinthecontractshallatleastspecifythefollowingcontents:Thesituationsmutuallyagreedbythepartiestothecontractastheforcemajeure;Theagreementandconditionofliabilityexemptionwhenforcemajeureoccurs;Theobligationstobeperformedbythepartiestothecontractwhenforcemajeureoccurs;Theagreementandconditionofcontinuedperformanceorterminationofthecontractafterforcemajeureoccurs.Disputesettlementmethod合同應(yīng)設(shè)置爭議解決方式的條款，解決方式應(yīng)至少包括：Theclauseofdisputesettlementmethodshallbeprovidedinthecontract,andthesettlementmethodshallatleastinclude:Settlementthroughnegotiationbybothoftheparties;Ifnegotiationfails,itcanbeagreedtoinitiatealawsuittothecourtwithjurisdictionwhereeitherpartyislocated.Ending合同約尾部分應(yīng)：Theendofthecontractshall:Expresslyagreeonthestartingtimeandeffectivetimeofthecontract;Specifythesignatureandofficialsealofthelegalrepresentativesandagentsoftheparties;Specifytheannexesincludedinthecontractandlegaleffect;Specifythenumberofcontractcopies,signingdateandplace.附 Contactperson:Contactperson:number:傳真：傳真：Fax:Fax:第一章定義ChapterIDefinition1.1“合同”指本商務(wù)文本的協(xié)議，及其它形成合同不可分割的附件?！癈ontract”referstotheagreementofthisbusinesstextandotherinseparableannexesthatformthecontract.“Technicaldocumentorarchives”referstoalltechnicalparameters,designs,manualsandotherproprietaryinformationstipulatedintheannexestothecontractandotherdocumentsrelatedtothedesign,operation,maintenanceandinspectionofthesoftwareinthiscontract.“Service”referstotheservicesprovidedaccordingtothecontract.項(xiàng)目的批次驗(yàn)收?！癆cceptance”referstotheacceptancebybatchesoftheprojectbyPartyAandPartyBaccordingtotherequirementsofthecontractwithinthetermofthecontract.1.5“ContractPrice”referstothetotalcontractpriceconfirmedbybothpartiesonthebasisoforiginaloffer.第二章總則ChapterIIGeneralprovisions2.12.1AccordingtotheContractLawofthePeople’sRepublicofChinaandrelevantlawsandregulations,basedontheprinciplesofequalityandmutualbenefit,andthroughfriendlynegotiation,PartyAandPartyBhavereachedthefollowingagreementsregardingthepurchaseofbyPartyAfromPartyBformutualabidance.第三章合同標(biāo)的ChapterIIIContractobject3.1（Thebasicinformationofproduct(commodity)providedbyPartyBtoPartyA:產(chǎn)品名稱Productname規(guī)格型號Specification&model數(shù)量（臺）Quantity(set)3.2PartyBguaranteesthatithaslegalownership,intellectualpropertyrightandotherrightsandinterestsontheproductdeliveredtoPartyAaccordingtothiscontract,withoutinfringementonthelegalownership,intellectualpropertyrightandotherrightsandinterestsofanythirdparty.Otherwise,thelegalliabilityarisingtherefromshallbebornebyPartyB.PartyBguaranteesthattheprovidedproductandpartsarebrand-new,unused(unlessspeciallystipulated)andcansufficientlyachieve,provideandhavethefunctions,features,contentsandstandardsasdescribedinrelevantproductdescription.乙方應(yīng)遵守工程建設(shè)安全生產(chǎn)有關(guān)管理規(guī)定，建立完備的安全生產(chǎn)制度，對其工作人員進(jìn)行經(jīng)3.4PartyBshallabidebythemanagementregulationsrelatedtoworksafetyinengineeringconstruction,establishthecompleteworksafetysystem,provideregularsafetyeducationtoitsstaff,organizetheconstructioninstrictlyaccordancewithsafetystandardandoperationprocedures,receivethesupervisionandinspectionbytheindustrysafetyinspectoraccordingtolawatanytime,andtakenecessarysafetyprotectionmeasurestoeliminatethehiddenperilofaccident.PartyBshallbeliableforallsafetyaccidentscausedbyitsconstruction,includingpersonalinjuryandpropertyloss,andbearrelevantcosts,PartyAshallnotbearanyresponsibility.第四章質(zhì)量要求ChapterIVQualityRequirements4.1（PartyBmustprovidetheproductinvolvedhereintoPartyAinatimelymanneraccordingtothetechnicalstandard(technicalspecification,refertoAnnex1fordetails)andinstallationprocessstandardofPartyA,andPartyAshallprovidePartyBwiththeofficeconditionsnecessaryforprojectimplementation,relevantdatarequiredforcompletingthematterentrusted,informationofrecipientparty.若因乙方原因達(dá)不到甲乙雙方約定的標(biāo)準(zhǔn)，乙方必須在甲方提出整改要求后的日內(nèi)調(diào)換或IncaseoffailuretomeetthestandardagreedbybothpartiesduetothereasonofPartyB,PartyBmustcompletetheexchangeorreplacementwithinday(s)afterPartyAputsforwardtheretrofitrequest.4.3乙方在產(chǎn)品制作中應(yīng)嚴(yán)格按甲、乙雙方共同確認(rèn)的工藝和圖紙要求進(jìn)行，若出現(xiàn)具體指標(biāo)變更的情況，應(yīng)按甲方（聯(lián)系單中相關(guān)部門簽字）書面確認(rèn)后執(zhí)行。PartyBshallproducetheproductinstrictaccordancewiththeprocessanddrawingrequirementsmutuallyconfirmedbybothparties.AnychangetothespecificindicatorshallbeimplementedafterthewrittenconfirmationofPartyA(relevantdepartmentshallsignonthecontactform).第五章包裝方式ChapterVPackingmethod5.1貨物的包裝由乙方負(fù)責(zé)，其標(biāo)準(zhǔn)按乙方所提供的設(shè)備為原廠包裝，包裝按有關(guān)規(guī)定執(zhí)行。PartyBisresponsibleforthepackingofgoodsaccordingtorelevantstipulations,thepackingstandardshallbesubjecttotheoriginalpackingoftheequipmentprovidedbyPartyB.5.2PartyBisresponsibleforthesafetransportationofgoodsfromitswarehousetothedeliveryplacedesignatedinthecontract.第六章交貨及進(jìn)場進(jìn)度ChapterVIDeliveryandmobilizationschedule6.1進(jìn)場地址：（由甲方指定地點(diǎn)）。6.1Siteaddress:(tobedesignatedbyPartyA).6.2經(jīng)甲方下單給乙方后，乙方必須在日內(nèi)將所有設(shè)備及配件送到甲方指定的符合雙方約定的地點(diǎn)，并于前完成全部設(shè)備的安裝調(diào)試且設(shè)備具備使用條件。因甲方原因造成的延誤，工期順延。AfterPartyAplacesanorderwithPartyB,PartyBmustdeliverallequipmentandaccessoriestotheplacedesignatedbyPartyAandagreedbybothpartieswithinday(s),andcompletetheinstallationandcommissioningofallequipmenttomaketheequipmentreadyforusebefore.IncaseofdelaycausedbyPartyA,theconstructionperiodshallbepostponedaccordingly.AfterPartyA’sorderissenttoPartyB,PartyBmuststampasealforconfirmationandreturnittoPartyAwithinday(s).2424Beforemobilization,PartyBshallputforwardthedetailedmobilizationmethodandschedule,installationplanandconstructionlayout,whichshallbeimplementedafterreviewandconfirmationofPartyA.PartyBshallnotifyPartyAinwritingwithin24hoursaftermobilizationofthecontractequipment,PartyAshallchecktheequipmentitembyitemwithin24hoursafterreceivingthewrittennoticefromPartyBandissuetheContractEquipmentMobilizationCertificatebasedonthecheckresult.Thecertificateservesasthemarkofmobilizationandquantityofthecontractequipment.However,PartyB’scustodialresponsibilityofmobilizedproductshallnotbeexemptedduetotheContractEquipmentMobilizationCertificateissuedbyPartyA,andthecertificatedoesnotrepresenttherecognitionofcontractequipmentqualitybyPartyA.日內(nèi)完成補(bǔ)足Ifshortageofquantity,discrepancyinspecificationandothersituationsarefoundduringinstallationandcommissioning,PartyBshallberesponsibleforcomplementingandreplacement.Incaseofshortdelivery,brokenpackage,damageorothersituationsinconsistentwiththeprovisionsofthecontractfoundbyPartyA,PartyBshallcompletethecomplementing,repairorreplacementofrelevantequipmentwithinday(s)afterreceivingthenoticefromPartyA,andtheexpenseincurredshallbebornebyPartyB.安裝調(diào)試完成進(jìn)行初步驗(yàn)收，試運(yùn)行個月，期滿后個月內(nèi)進(jìn)行終驗(yàn)，若甲方?jīng)]按期進(jìn)6.6Carryoutpreliminaryacceptanceafterinstallationandcommissioning,andconducttrialrunformonth(s),andcarryoutfinalacceptancewithinmonth(s)afterexpiration.IfPartyAfailstocarryoutfinalacceptanceonscheduleanddoesnotputforwardwrittenobjection,itshallbedeemedtopassthefinalacceptance.Thewarrantyperiodbeginsifpassingthefinalacceptance,otherwiseretrofitshallbecarriedoutbeforePartyBappliesforfinalacceptanceagain.TheequipmentacceptancecanbeconductedbyPartyAoranentrustedthirdparty.第七章檢驗(yàn)標(biāo)準(zhǔn)和方法ChapterVIIInspectionstandardandmethod7.1Duringacceptanceofgoodsreceived,ifPartyAfindsthatthesortingefficiency,sortingerrorrate,barcodereadingrate,variety,model,specification,colortypesofproductsdonotmeettherequirementsandprovisions,PartyAisentitledtorefusethepaymentforgoodsinconsistentwiththeprovisionsofthecontract.PartyBshalltimelyrespondandhandleafterreceivingtheobjection.7.3ThetimelimitforPartyAtoputforwardtheobjectionagainsttheproductshallnotbelimitedtothe“threeguarantees”ofPartyBontheproductandtheresponsibilitiestobeborneaccordingtotheProductQualityLaw.第八章工程質(zhì)量及售后ChapterVIIIProjectqualityandafter-salesservice8.1年，自甲方驗(yàn)收合格之日起算。Thewarrantyperiodoftheproductisyear(s)startingfromthedateofqualifiedacceptancebyPartyA.Withinthewarrantyperiod,PartyBisresponsibleforfreeofchargesolutionofallqualityproblemsoftheequipmentanditssystemaswellasmaintenance.Thewearingparts,damagesduetohumanfactorsandotherissuesshallbeagreedseparatelybybothparties.PartyBshallprovideatleasttimesoffreeon-sitemaintenance,returnvisitandequipmentupdateeveryyear.Fortheafter-salesservice,respondwithinhour(s)andarriveatthesitewithinhour(s)forhandling.PartyBshallprovidetheguaranteedmechanismsuchason-siteserviceinthepeaktimeofoperationofPartyAwithintheperiodagreedbybothparties.如果故障設(shè)備在Iftheequipmentfaultcannotbeeliminatedwithinday(s),PartyBshallprovidethespareequipmentwiththelevelofspecificationandmodelnotlowerthanthefaultyequipmenttoPartyAforuseuntilthefaultyequipmentisrestored.Afterthewarrantyperiodexpires,PartyBshallensurethenormalrunningoftheequipment.Themaintenanceshallbeagreedseparatelybybothparties.如根據(jù)本合同與附件及招標(biāo)與投標(biāo)文件的約定，乙方應(yīng)就產(chǎn)品的使用、維護(hù)等對甲方及甲方員8.7Ifsubjecttotheagreementsinthiscontractandannexesaswellasthetenderingandbiddingdocuments,PartyBshallprovidetrainingontheproductuseandmaintenancetoPartyAanditsemployees.ThetrainingplanshallbesubmittedbyPartyBtoPartyAbeforemobilizationforapprovalbyPartyA.PartyBshallcarryoutthetraininginstrictaccordancewiththetrainingplanapprovedbyPartyA.第九章合同價款及付款方式ChapterIXContractpriceandpaymentterms9.1合同物品單價金額請見表格所示Theunitpriceofthecontractitemsisshowninthetablebelow名稱Name規(guī)格Specification數(shù)量Quantity單價（元/個）Unitprice(RMB/piece)金額Amount備注Remark說明:報價含稅、含運(yùn)輸、安裝費(fèi)用等。Note:Thequotationincludestax,transportationandinstallationfees,etc.）。AfterinstallationandcommissioningofPartyB’sequipment,completionandsettlementreportshallbesubmittedtoPartyAwithinonemonth(thesettlementreportincludesbutnotlimitedtopricelist,brandspecificationstandard,completionandsettlementsheet,constructionlayout,brandname,certificateofquality,deviationformandqualitycommitmentletter).付款方式：項(xiàng)目合同簽訂后，甲方在收到乙方開具的增值稅專用發(fā)票后于日內(nèi)支付合同價格的%日內(nèi)支付至合同價格的%；預(yù)留合同價格的%作為質(zhì)保金，確保質(zhì)保期內(nèi)的服務(wù)按合同要求履行，質(zhì)保期滿后甲方收到乙方次免費(fèi)維保單日內(nèi)支付（不計利息）Paymentterms:Aftersigningtheprojectcontract,PartyAshallpaytheadvancepaymentequalto%ofthecontractpricewithinday(s)afterreceivingthevalue-addedtaxinvoiceissuedbyPartyB;PartyAshallpay
